D-1 <br />DOCSOPEN\MU205\50\716385.v4-4/22/21 <br />EXHIBIT D <br />FORM OF QUIT CLAIM DEED <br /> <br /> <br />STATE DEED TAX DUE HEREON: $_______________ <br /> <br />Date: ________________, 20___. <br /> <br />THIS INDENTURE, between the Mounds View Economic Development Authority, a <br />public body corporate and politic, under the laws of the State of Minnesota, Grantor, and <br />BIOCLEAN MOBILE WASH INC., a Minnesota business corporation, Grantee. <br /> <br /> WITNESSETH, that the Grantor, in consideration of the sum of Seventy-Seven Thousand <br />Dollars ($77,000) and other good and valuable consideration, the receipt whereof is hereby <br />acknowledged, does hereby grant, bargain, quit claim and convey to the Grantee, its successors <br />and assigns, forever, all of the tract or parcel of land lying and being in the County of Ramsey and <br />State of Minnesota described as follows: <br /> <br />[To be finalized once the Development Property has been subdivided pursuant to Section 3.8 of <br />the Purchase and Development Agreement] <br /> <br />That part of the south 45.00 feet of the North Half of the Southeast Quarter of the <br />Northeast Quarter of Section 17, Township 30, Range 23, Ramsey County, <br />Minnesota, lying east of Lot 4, Block 1, MOUNDS VIEW INDUSTRIAL PARK, <br />according to the recorded plat thereof, and lying west of the northwesterly <br />extension of the east line of Lot 5 of said Block 1 <br /> <br />(the “Development Property”). <br /> <br /> To have and to hold the same, together with all hereditaments and appurtenances thereunto <br />belonging or in any way appertaining, to the Grantee, its successors and assigns, forever. Subject <br />to and together with, however, the provisions of the Permitted Encumbrances described and <br />referred to in Exhibit A attached hereto and incorporated herein by reference, including, without <br />limitation, the right of the Grantor upon the happening of an Event of Default under that certain <br />Purchase and Development Agreement between Grantor and Grantee dated as of April _____, <br />2021, to re-enter and take possession of the Development Property and the improvements thereon <br />and terminate the estate and all right, title and interest of the Grantee in and to the Development <br />Property and improvements thereon, and revest in the Grantor all right, title, estate and interest of <br />the Grantee in the Development Property and improvements thereon, free of any lien of any <br />mortgage and other liens, except as permitted pursuant to the provisions of the Purchase and <br />Development Agreement. <br /> <br />IN WITNESS WHEREOF, the Grantor has caused this deed to be duly executed in its <br />behalf by its president and its executive director on ____________, 2021. <br />
