EDA Resolution No. 21-EDA-455 <br />Page 2 <br />Section 2. Findings. <br />2.01. The recitals set forth in the preamble to this Resolution and the exhibits attached to <br />this Resolution are incorporated into this Resolution as if fully set forth herein. <br />2.02. The Agreement is hereby in all respects authorized, approved and confirmed by the <br />Authority and the President and the Executive Director are hereby authorized and directed to <br />execute and deliver the Agreement for and on behalf of the Authority in substantially the form <br />now on file with the Authority, but with such modifications as shall be deemed necessary, desirable <br />or appropriate, its execution thereof to constitute conclusive evidence of their approval of any and <br />all modifications therein. <br />Section 3. Implementation. <br />3.01. The President and Executive Director are authorized and directed to execute and <br />deliver the Agreement and any additional agreements, certificates or other documents that the <br />Authority determines are necessary to implement this Resolution. <br />3.02. The Authority directs Authority and City staff to take any appropriate action and to <br />prepare any appropriate documents to facilitate the directives of the Authority as set forth in this <br />Resolution and in performing its obligations under the Agreement as a whole. <br />3.03. The President, Executive Director, Authority and City staff, Authority and City <br />attorney, and Authority and City consultants are hereby authorized and directed to take any and all <br />additional steps and actions necessary or convenient in order to accomplish the intent of this <br />Resolution. <br />Section 4. Effective Date. This resolution is effective upon the date of its adoption. <br />Adopted on the I Ph day of April, 2022. <br />Carol A.
