Att. 6 <br />RESOLUTION OF THE BOARD OF DIRECTORS <br />OF <br />NORTHEAST YOUTH & FAMILY SERVICES <br />THIS IS TO CERTIFY that at a duly constituted meeting of the Board of Directors of Northeast <br />Youth & Family Services ("NYFS") held on April 28, 2022, the following resolution was <br />adopted: <br />WHEREAS, the Board of Directors has selected Angela Lewis-Dmello to serve as <br />President and CEO of NYFS effective as of June 6, 2022. <br />NOW THEREFORE, IT IS RESOLVED that: <br />a) Angela Lewis-Dmello is hereby appointed as President and CEO of NYFS <br />effective as of June 6, 2022 (the "Start Date"); and <br />b) Upon and after the Start Date, Angela Lewis-Dmello is authorized to sign and <br />carry out the following: <br />a. Contracts, grants, leases, and other documents which are: (i) in the ordinary <br />course of operations and which have been included in the annual budget and <br />amendments thereto as approved by the Board; or (ii) which have been <br />approved by Board authorization for new programs and activities. <br />ADOPTED: <br />BOARD OF DIRECTORS: Jack Serier, Board Chair Date: <br />
