19. Dispute Resolution <br />20. Governing Law. This Contract is governed in all respects by the laws of the State of <br />Minnesota, and all obligations are enforceable in accordance therewith; and SPRI, <br />where required, must obtain all licences or permits to transact a Refuse collection <br />business in the City. <br />21. Notice. Except as otherwise herein provided, all notices required to be served by <br />either party on the other shall be in writing and forwarded by certified mail to the <br />principal office of the party to which notice is given as follows: <br />To the Q!y of Saint Paul: <br />To SPRI: <br />Saint Paul Refuse, Inc. <br />(address) <br />With a copy to: <br />John A. All parts and provisions of this Contract are severable. If any part or <br />provision shall be held invalid, the remainder of this Contract shall remain in <br />effect. <br />23. Performance Assurance. In a manner acceptable to the City, SPRI shall provide cash <br />or equivalent surety in an amount to be negotiated in the event SPRI is unable for <br />whatever reason to perform its obligations hereunder. <br />24. Independent Contractor. SPRI is declared to be an independent contractor, and <br />nothing in this Contract shall be construed to create the relationship of employer and <br />employee between the City and SPRI or its agents, or make SPRI, its agents, or employees, <br />subject to City Civil Service rules. <br />25. Entire Agreement. This Contract, along with attachments and exhibits hereto <br />which are incorporated herein by reference, is the entire agreement between the <br />parties. No modification of this Contract shall be valid or effective, unless made in <br />writing and signed by the parties hereto. <br />
