DocuSign Envelope ID: 72960356-48E2-452B-BE39-59E05989095A <br />RESOLUTION 24-EDA-373 <br />THE MOUNDS VIEW ECONOMIC DEVELOPMENT AUTHORITY <br />COUNTY OF RAMSEY <br />STATE OF MINNESOTA <br />APPROVING AN AGREEMENT BETWEEN THE ECONOMIC DEVELOPMENT <br />AUTHORITY AND THE CENTER FOR ENERGY AND ENVIRONMENT TO <br />PERFORM HOME ENERGY SQUAD VISITS IN THE CITY OF MOUNDS VIEW <br />WHEREAS, the City of Mounds View (the "City") is a municipal corporation and political <br />subdivision duly organized and existing under the Constitution and laws of the State of Minnesota; <br />and, <br />WHEREAS, the Mounds View Economic Development Authority (the "EDA") is a public <br />body corporate and politic under the laws of the state of Minnesota; and, <br />WHEREAS, the EDA has also been granted the statutory powers of a Housing and <br />Redevelopment Authority pursuant to Minnesota Statues, Section 469.091, Subdivision 1; and, <br />WHEREAS, the EDA currently operates a housing loan program (the "Loan Program") <br />pursuant to its authority under state law; and, <br />WHEREAS, the EDA has previously entered into an agreement with the Center for Energy <br />and Environment ("CEE") to act at the principal servicer of the Loan Program pursuant to the <br />terms of a loan origination agreement (the "Origination Agreement"); and, <br />WHEREAS, the EDA also previously entered into an agreement dated December 12, <br />2017, with CEE to conduct "Home Energy Squad Enhanced Visits" as requested by residents of <br />the City ("Agreement to Perform Home Energy Squad Enhanced Visits"), a copy of which is <br />attached as Exhibit A; <br />WHEREAS, the EDA intends to enter into a similar agreement to conduct similar "Energy <br />Saver Visits" and "Energy Planner Visits" from April 1, 2024 through December 31, 2026 <br />("Agreement to Perform Home Energy Squad Energy Visits"), a copy of which is attached as <br />Exhibit B, which shall be referred to as the "Agreement;" and, <br />NOW, THEREFORE, BE IT RESOLVED, by the Board of the Mounds View Economic <br />Development Authority that the recitals and exhibits, if any, set forth in this Resolution are <br />incorporated into and made a part of this Resolution. <br />NOW, THEREFORE, BE IT FURTHER RESOLVED, that the Board of the Mounds <br />View Economic Development Authority do hereby approve the Agreement, subject to <br />modifications approved by the City Attorney that do not materially alter the EDA's rights and <br />
