GROVELAND PARK FOUNDATION BY-LAWS ARTICLE I - PURPOSE It shall be the purpose of the Groveland Park Foundation to raise monies through community -wide special events for park development projects, as outlined in the Master Plan and in coordination with the City of Mounds View Park Director, as well as to increase neighborhood involvement through the sponsorship of recreation and social events. ARTICLE II - MEMBERSHIP A. Eligibility for membership in the Groveland Park Foundation is open to any interested individual, partnership, association, institution or government body wishing to become involved in the Groveland Park Foundation. B. The Foundation will be managed by a nine -member (9) member voting Board of Directors to be elected at -large from the general Foundation member- ship. One member shall be the immediate past Chair of the Foundation. ARTICLE III - MEETINGS A. The regular meeting schedule or calendar shall be adopted at the annual business meeting each year to be held on the third Monday in January. B. The quorum shall be ten (10) members of which at least five (5) shall be members currently serving on the Board of Directors. ' C. The annual meeting shall include the following orders of business: 1. Election of four members to the Board of Directors. (The Board of Directors shall elect persons from among their membership to serve as Chairperson, Vice -chairperson, Secretary and Treasurer.) 2. Reviewal of by-laws. 3. A budget shall be prepared and submitted to the general membership prior to formal approval at the annual meeting which shall include all projected revenues and expenditures. D. The Board of Directors shall meet at least quarterly. All regular and special meetings shall be posted at least 48 hours before the actual meeting. All meetings shall be held at either the Groveland Park Shelter Building or the Mounds View City Hall. E. All meetings shall be run in accordance with Robert's Rules of Order. ARTICLE IV - TERMS AND VACANCIES A. The Groveland Park Foundation Board of Directors shall serve two-year staggered terms with terms expiring at the annual board meeting each �-' shall hold their offices originalear.
