!F45 <br />Should the maintenance agreements not be mutually agreed to by March 15 <br />as stated above or should the maintenance agreements mutually agreed to <br />not be honored by either party, this joint powers agreement shall be <br />jointly reviewed within ninety (90) days after March 15 or from the date <br />the agreement was not honored. <br />2. EASEMENT FOR EGRESS AND INGRESS <br />The School District -hereby grants to the City, its agents and employees, <br />and participants in its scheduled recreational activities, programs or <br />events, an egress and ingress to said outside facilities so long as this <br />agreement is in effect. <br />3. INDEMNIFICATION <br />a. School District's indemnification of City. The School District hereby <br />agrees to indemnify and hold harmless the City against any and all <br />claims for damages, of whatever nature, arising from or in consequence <br />of the duties it has assumed hereunder and also arising from or in <br />consequence of its operation, supervision, control or conducting of <br />any of its recreational activities, programs or events or related <br />activities utilizing said outside facilities. <br />b. City's indemnification of School District. The City hereby agrees to <br />inde; .: y and ,,pie ia�+uless the of uis.. against any and all' <br />claims for damages of whatever nature, arising from or in consequence <br />of the duties it has assumed hereunder and also arising from or in <br />consequence of its operation, supervision, control or conducting of <br />its recreational activities, programs or events or related activities <br />utilizing said outside facilities. <br />c. Nature and extent of indemnification. The indemnification set forth <br />in the previous two subparagraphs of this paragraph 3 shall protect <br />the indemnitee and its successors, from and against any and all ac- <br />tions, proceedings, claims, demands, costs, damages and expenses, <br />including reasonable attorneys' fees which it may pay, sustain or <br />incur. <br />4. USE OF FACILITIES <br />The School District hereby grants to the City permission and license to <br />conduct at such times, after school hours, and on weekends, as will not <br />interfere with regular school curricular, co -curricular and related <br />activities, on said outside facilities, such recreational activities, <br />programs, or events, as the City desires to conduct, to utilize the' <br />
