RESU LLIION wV. nwfT <br />OF FACT, CONCLUT!_6NS, AND RECOMMENDED <br />RESOLUTION REGARDING THE TRANSFER OF <br />OWNERSHIP AND CONTROL OF GROUP W CABLE, <br />INC. AND THE TRANSFER CF THE FRANCHISE <br />ORDINANCE TO NORTH CENTRAL CABLE COMMUNI- <br />CATIONS, L.P. <br />INTRODUCTION <br />The North Suburban Cable Commission (hereinafter "Com- <br />mission") is organized pursuant to the terms of a Joint and <br />Cooperative Agreement for the Administration of a Cable <br />Television Franchise (hereinafter "Agreement"), as autho- <br />rized by Minnesota Statutes Section 471.59, as amended. The <br />Member Cities of the Commission include Arden Hills, Falcon <br />Heights, Lauderdale, Little Canada, Mounds View, New <br />Brighton, North Oaks, Roseville, St. Anthony, and Shoreview, <br />Minnesota (hereinafter "Member Cities"). <br />This proceeding involves the Commission's review, on <br />behalf of the Member Cities, of a request by Group W Cable, <br />Inc. and Group W Cable of the North Suburbs, Inc. (herein- <br />after collectively "Group W") to approve the transfer of <br />ownership and control of Group W and transfer of the Cable <br />Communications Franchise Ordinance to North Central Cable <br />Communications, L.P. (hereinafter "North Central"). <br />Notice is hereby given that the Member Cities will make <br />the final determination of this matter. Further, notice is <br />hereby giver that the Member Cities, may at their own dis- <br />cretion, accept or reject the Commission's recommendation <br />and that said recommendation has no legal effect unless ex- <br />pressly adopted by the Member Cities as their final deci- <br />sion. <br />STATEMENT OF ISSUE <br />The purpose of this proceeding is to determine whether <br />the Member Cities of the Commission should consent to the <br />transfer of ownership and control of Group W and the trans- <br />fer of the Cable Communications Franchise Ordinance (herein- <br />after "Franchise") to North Central. <br />Based upon all the Droceedings herein, the Commission <br />makes the following: <br />FINDINGS OF FACT <br />1.
