It appears that the agreement <br />was otigically intended to he execnted by privatc developea in order tc <br />protect the City from having to assume responsibility for reslurir,g sites <br />it a developer were to go out of business. Before the MTC enteral into <br />such all agreement, we suggest that the agreement be modified somewhat. <br />I., particular, we sugg :st the following: <br />1` item 5 should be deleted in its entirety. The MTC is <br />exempt from taxes and cannot assume liability fcr taxes. <br />2) Iter v is unclear to us. Please describe its intent or <br />delete it. <br />3) Regarding item 10, Mn/DoT will continue to own the lend; <br />therefore, this item should be deleted. <br />4) 1r. item 12, we cannot agree to the payment of any fees, <br />not kuuwing their extent. <br />5) Item 14 should be deleted in its entirety. <br />6) Exhibit 2A, item 4, contains language committing the MTC <br />to the payment of unknown quantities of money. Again, <br />we cannot agree to such a situation. <br />7) Regarding Exhibit 2A, item 6, I investigated the site <br />personnally after receipt of the develoomect agreement. <br />Just across the street is lo_ated a restaurant which is <br />open during the hours which span the hours of bus operations. <br />Adjacent to the restaurant is a gas station which is open <br />
