Creighton, Legal Counsel <br />DATE: October 9, 1986 <br />RE: Transfer of Ownership and Control of Group W Cable <br />of the North Suburbs, Inc. <br />As you are aware, Group W Cable, Inc., by and through Group <br />W Cable of the North Suburbs, Inc., requested the Cities' consent <br />to the transfer of ownership and control in Croup W of the North <br />Suburbs, Inc. to North Central Cable Communications Corpoiation <br />("North Central"). Group W is obligated to receive the Cities' <br />approval for this transaction under the Franchise Ordinance. <br />Tl;e North Suburban Cable Commission has undertaken an <br />analysis of the legal, technical, and financial qualifications <br />of North Central in the transaction. At its meeting on October 8, <br />1986, the Commission determined to recommend to its member cities <br />the approval of the transfer of ownership of Croup W Cable _of <br />the North Suburbs, Inc. to North Central. I have enclosed a <br />copy of the Commission's resolution. <br />The complexity of the transaction and the specific analysis <br />which was undertaken by the Commission, on behalf of its member <br />cities, cannot be fully described in this memorandum. I have <br />included a copy of a memorandum which explains in detail the <br />transaction. This memorandum was presented to the Commission <br />and formed a basis for their recommendation of approval. I <br />
