10. Termination. The City of Blaine shall have the <br />absolute right to discontinue water service to the Property and <br />terminate this Agreement after thirty (30) days written notice <br />to the City of Mounds View upon the occurrence of any of the <br />following events; <br />(a) the owner of the Property or its successors or assigns <br />shall fail to timely pay all appropriate charges for wate: o: <br />services to the City of Blaine; or <br />(b) this Agreement or the connection .is deemed in the <br />reasonable opinion of the City Manager of the City of Blaine to <br />violate any federal, state or local law, rule, ordinance or <br />regulation; or <br />(c) use of the connection by the owner of the Property or <br />its successors or assigns, substantial) interferes with exist- <br />ing or proposed service to residents of the City of Blaine, <br />which determination shall be rrade by the City Manager of the <br />City of Blaine, and such determination sha'l be in his sole <br />discretion. <br />11. lydemnification. The City of Mounds View shall be <br />responsible for determining that all applicable safety, build- <br />ing and fire codes for the Property have been met and continue <br />to be met, and shall assume, protect, indemnify and held the <br />City of Blaine, its elected officials, officers, employees and <br />agents, harmless from and against any and all claims, actions, <br />demands, lia ility, losses or lawsuits of any kind whatsoever, <br />including reasonable attorney's fees, which arise out of, or <br />-5- <br />
