liable. Companion Animal Control agrees this indemnity obligation shall survive the completion <br />or termination of this agreement. <br />c. To the fullest extent permitted by law, Municipality agrees to defend and indemnify Companion <br />Animal Control, and its officers, employees, and volunteers, from and against all claims, <br />damages, losses, and expenses, including attorney fees, arising out of or resulting from the <br />performance of work under this agreement; but only to the extent caused in whole or in part by <br />the negligent acts, errors or omissions of Municipality, or anyone directly or indirectly employed <br />or hired by Municipality, or anyone for whose acts Municipality may be liable. Municipality <br />agrees this indemnity obligation shall survive the completion or termination of this agreement. <br />8. Term: <br />a. This Contract shall become effective upon its execution by both parties and continue annually, <br />subject to termination upon 30-day advance written notification of termination by either party. <br />Fees will be evaluated by Companion Animal Control on an annual basis for cost -of -living <br />adjustments up to 10%, any adjustments will be communicated in writing to Municipality. No <br />amendment or modification of this agreement shall be effective unless made in writing and signed <br />by both parties. All provisions of this contract relating to insurance, indemnity and compliance <br />with the State Data Practices act shall survive termination to the full extent needed for the <br />protection of the Municipality, Companion Animal Control and Companion Animal Care. <br />b.
