Unless the terms <br /> of this Agreement refer to or require the actual receipt of a written notice, notices given under this <br /> Agreement will be deemed complete when personally served or when deposited in the mails as provided <br /> above. <br /> 6. Landlord and Guarantor agree that, to the extent permitted by law, each will and hereby <br /> does waive trial by jury in any action, proceeding or counterclaim brought by either against the other on <br /> any matter whatsoever arising out of or in any way connected with this Agreement. <br /> 7. This Agreement will be binding upon and inure to the benefit of Landlord, its successors <br /> and assigns,and Guarantor and its successors and assigns. <br /> 8. This Agreement contains the entire agreement between the parties concerning the matters <br /> addressed herein and no representations, inducements, promises, understandings or agreements, (whether <br /> express or implied and whether oral or written)made before the execution of this Agreement will change <br /> or add to the terms of this Agreement. No covenants will be implied into any of the terms or provisions of <br /> this Agreement. This Agreement may be changed or modified only by a writing that all parties have signed. <br /> 9. Landlord may request Guarantor to provide Landlord with a copy of its most recent <br /> financial statements. Within 30 days after such a request from Landlord, Guarantor agrees to provide <br /> Landlord with a copy of their most recent audited financial statements, certified by an officer of the <br /> Guarantor, but only on the condition that Landlord agrees to keep such information confidential, and <br /> Landlord agrees to only provide such information to its attorneys,potential buyers and lenders and potential <br /> lenders, and then only if such parties receiving such information agree to keep such information <br /> confidential. <br /> 10. If any payment received by Landlord and applied to the obligations described herein is <br /> subsequently set aside, recovered,rescinded or required to be returned for any reason(including,without <br /> limitation,the bankruptcy, insolvency or reorganization of Tenant or any other obligor),the obligations to <br /> which such payment was applied will for the purposes of this Agreement be deemed to have continued in <br /> existence,notwithstanding such application,and this Agreement will be enforceable as to such obligations <br /> as fully as if such application had never been made. <br /> 11. The liabilities and obligations of Guarantor under this Agreement will not be impaired or <br /> affected by the institution by or against Tenant or any other person of any bankruptcy, reorganization, <br /> arrangement, insolvency or liquidation proceedings, or any other similar proceedings for relief under any <br /> bankruptcy law or similar law for the relief of debtors. Any discharge of any of the obligations of Tenant <br /> pursuant to any such bankruptcy or similar law will not diminish,discharge or otherwise affect in any way <br /> the obligations of Guarantor under this Agreement. <br />
