RESOLUTION NO. 6581

COUNTY OF RAMSEY
STATE OF MINNESOTA
CITY OF MOUNDS VIE\V RESOLUTION AUTHORIZING
SALE OF CITY OF MOlJNDS VIEW PROPERTY TO THE
MOUNDS VIEW ECONOMIC DEVELOPMENT AUTHORITY
BE IT RESOLVED by the City Council ("Council") of the City of Mounds Vie\\' as
follows:
Section 1.
Recitals.
Ull. The City of :f\.1ounds Vie\\- (the "City") has previously established the ivlounds View
Economic Development Project (the "Project"). \vhich is currently administered by the Mounds
Vie\\' Economic Development A.uthority (the "Authority").
1.02. The Authority and City are considering approval of a ta;.; increment financing plan
("TIF Plan") and a proposed ora\: Increment Financing District "\'0. 5 (the "TIF District") within the
Proj ect.
1.03. The City owns certain property within the Project legally described as set forth in
Exhibit A (the '.PropeI1yu).
] .04. The City and Authority have previously approved (by City Resolution ~o. 6564 and
Authority Resolution 05-ED/\-2(3) a deydopment proposal trom Medtronic, Inc. (the "De\Cloper")
for an office facility (the "Development") to be constructed on the PropeI1y which is located \\-ithin
the proposed TIF District. and in connection with that proposal. the City and /\uthority have caused
to be prepared a Purchase Agreement and Contract for Private Development between the City. the
AuthOlityand Developer (the .'Contrac(').
1.05. The Council previously reviewed and approved the Contract providing tor the sale
of the Property. the construction of the Deve]opment on the Property and ce]1ain tax increment
payments to the Developer in connection with the De\elopment. ,md concluded that the proposed
deYe]opment was consistent with and promoted the goals and objectives fl1r which the Project was
established.
1.06. Pursuant to the Contract. the City agrees to eonyey to the Authority, and the
Authority agrees to subsequently convey to the Developer. the Properly described in the Contract.
subject to cel1ain tcmlS and conditions.
1.07. The City is authorized to conwy real propcI1y pursuant to Cit::- ChaI1er Seclion
11.05 to any paI1y (as previously apprO\ed by the Cily in Resolution No. 6564\. or pursuant to

Minnesota Statutes Section 465.035 to any governmental subdivision or Minnesota Statutes Section
471.64 to any other political subdivision of the Statc.
1.08. The Authority is a political subdivision of the State pursuant to Minnesota Statutes
Section 469.091. Subdivision 2.
1 .09. The City finds and detcm1ines that COI1\eyancc of the Property to the Authority is for
a public purpose and is in the public interest because it \\-ill further the objectives of the Project.
1.10. The City finds and dctern1incs that conveyance by the Authority of the Property to
the Developer is for a public purpose and is in the public interest because it will further the
o~jectives of the Project.
1.11 The City Councillinds that the requirements of Minnesota Statutes Section 462.356,
Subdivision 2 are hereby deemed satisfied based upon the previous revie\\" of this transaction and
recommended comprehensive municipal plan amendment by the City of \,founds View Planning
Commission on February 2. 2005. and that the conveyances of the Property to the Authority and by
the Authority to the Developer arc consistent with the amended comprehensivc municipal plan. or
altematively. the City dispenses with the requirements of Minnesota Statutes Section 462.356.
Subdivision 2 and finds in the City Council"s judgment that the proposed conveyanccs of the
Property to the Authority and the Developer have no relation to the amended comprehensive
municipal plan of the City.
Section 2.
Authorization.
2.01. The recitals set forth in this Resolution are inCOIl)orated into and made a pan of this
Resolution.
2.02. The City Council finds and determines that the requirements of J'v1innesota Statutes
Section 462.356. Subdivision 2 are hereby satisfied. or altematively. dispensed with hased upon the
jindings of the City Council.
2.()J. The City Council finds and detennincs that the transaction herein referenced and
contemplated is for a public pUIl)ose and is in the public interest.
2.04. The City Council approves the conveyance of the Property to the Authority pursuant
to Minnesota Statutes Section 465.035 and i'v1innesota Statutes Section 471.64. subject to
satisfaction of all tenns and conditions of the Contract. and authorizes and directs the \-1a\"or and

Clerk-Administrator to execute the deed and related documents necessary to facilitate the
transaction referenced herein and contemplated herein. with a1l such actions to be in accordance
with the kilns and conditions set forth in this Resolution.
2,05. The !v1ayor and City Clerk-Administrator. staff and consultants arc hereby
authorized and directed to take any and all additional steps and actions necessary or convenient in
order to accomplish the intent oi'this Resolution.

2.06. The findings. approvals and authorizations set f0l1h in this Resolution are in addition
to the findings. approvals and authorizations previously approved by the City Council in Resolution
No. 6564.
