ROLL CALL MEMBERS PRESENT: President McCarty, Commissioners Gunn, Koopmeiners, Quick, and Stigney. ALSO PRESENT: Mike Ulrich, Acting City Administrator; Rick Jopke, Community Development Director; Steve Dorgan, Housing Inspector; Bob Long, City Attorney; and Dave Hix, Recording Secretary. 1. AGENDA ADDITIONS • No additions were considered. 2. APPROVAL OF MINUTES MOTION/SECOND: Koopmeiners/Gunn to approve the October 13, 1998 EDA Meeting Minutes as submitted. VOTE: Ayes - 5 Nays - 0 The motion carried. 3. SPECIAL ORDER OF BUSINESS No special order of business was considered. 4. CONSENT AGENDA No consent agenda was considered. 5. AUTHORITY BUSINESS A. Consideration of EDA Resolution No. 98-EDA-98, Authorizing the Purchase Agreement • for the property located a 6991 Pleasant View Drive as part of the Housing Replacement Program. Housing Inspector Dorgan gave his report as follows: At the June 22, 1998 EDA meeting, the Commission approved the purchase of 6991 Pleasant View Drive as part of the Housing Replacement Program. A purchase agreement has been prepared. The owner has recently signed the purchase agreement and has tentatively scheduled a closing with the City of December 18, 1998. • As part of the site acquisition, HRP policy requires a Hazardous Materials Survey to be completed. Staff had received three separate bids for completion of the required work.. Airtech Environmental, Inc., was awarded the contract for the sum of$630. Staff was recommending approval of EDA 98-EDA-98, A Resolution authorizing the purchase agreement for the property located at 6991 Pleasant View Drive as part of the Housing Replacement Program. Staff has recently been working with the communities of Blaine,Fridley and New Brighton to jointly promote a Home and Garden Fair. The fair will be known as the"North Metro Home and Garden Fair"and be held at the new Mounds View Community Center on February 27, 1999. The Fair will not only promote housing rehabilitation within the City, but also promote the new Community Center. By combining resources with several neighboring communities, the participating cities anticipate providing resources for promoting housing rehabilitation . for the residents of each community. In addition,sharing resources will minimize staff time for organizing the Fair and be much more cost effective. The organizing committee has decided to have each community contribute$2,000 to fund the Fair. The City's share will come from the previously allocated TIF funds to develop a Home and Garden Fair. The Fridley HRA has agreed to act as the Fiscal Agent. Because there are several communities involved in contributing funding to the Fair, it was determined that an agreement between the Fridley HRA(the fiscal agent)and each community was necessary. RECCOMENDATION Approve Resolution 98-EDA-100 approving the Agreement between the Mounds View EDA and the cities of Blaine,Fridley and New Brighton for the purposes of promoting the North Metro Home and Garden Fair. -was Steve Dorgan, . ,_ Inspector 717-4023 Attachments: 1)Resolution 98-EDA-100 2) Agreement between Mounds View EDA and Fridley HRA • RESOLUTION NO. 98-EDA-100 MOUNDS VIEW ECONOMIC DEVELOPMENT AUTHORITY COUNTY OF RAMSEY STATE OF MINNESOTA RESOLUTION APPROVING AN AGREEMENT BETWEEN THE MOUNDS VIEW ECONOMIC DEVELOPMENT AUTHORITY AND THE FRIDLEY HOUSING AND REDEVELOPMENT AUTHORITY (HRA)FOR THE PURPOSE OF ESTABLISHING THE FRIDLEY HRA AS THE FISCAL AGENT FOR THE NORTH METO HOME AND GARDEN FAIR WHEREAS, The EDA approved expenditure of$2,500 of Tax Increment Funds (TIF) on April 23, 1998 for the purposes of implementing a Home and Garden Fair to encourage the improvement and redevelopment of housing within the City; and WHEREAS, staff has been working with the cities of Blaine, Fridley and New Brighton to develop the North Metro Home and Garden Fair for the spring of 1999; and WHEREAS, the Fridley HRA has volunteered to act as the Fiscal Agent for the Fair; and WHEREAS, the Mounds View EDA should enter into an agreement with the Fridley HRA for the purposes of securing fiscal responsibilities of City funds for the intended purpose of promoting the North Metro Home and Garden Fair with the cities of Blaine, Fridley and New Brighton. • NOW, THEREFORE,BE IT RESOLVED that the Mounds View City Council approves an Agreement between the Mounds View EDA and the Fridley HRA for the purposes of promoting the North Metro Home and Garden Fair with the cities of Blaine, Fridley and New Brighton with the Fridley HRA acting as the fiscal agent. Whiting, City Clerk/Administrator (SEAL) • • Agreement • This agreement is made between the Fridley Housing Redevelopment Authority(hereinafter the"Fridley HRA") and the Mounds View Economic Development Authority(hereinafter, the "Mounds View EDA") on this day 1998. The City of Mounds View agrees to co-sponsor a multi-community home and garden fair with the cities of Blaine, Fridley and New Brighton. The fair, to be known as the North Metro Home and Garden Fair, will be held at the Mounds View Community Center on February 27, 1999 from 9:00 a.m. to 3:00 p.m. The fair will encompass many aspects of home building or home remodeling, and is intended to serve as a benefit to the residents of the four cities sponsoring the event. The Fridley HRA agrees to act as the fiscal agent responsible for the finances associated with the fair. The Mounds View EDA agrees to pay$2,000 to the Fridley HRA as its share of the costs to be incurred by the Fridley HRA for the planning, advertising and execution of the North Metro Home and Garden Fair. Except for any breach of the representation of the Fridley HRA, any willful misrepresentation of any willful or wanton misconduct of the Fridley HRA, or the negligence or other wrongful act or omission of any officers, agents and employees of the Fridley BRA. The Mounds View EDA agrees to indemnify and hold harmless the Fridley HRA and its officers employees against any claim, demand, suit, action, or other proceedingarisingagents, pursuant to the Agreement resulting from actions or failures of the act by the Fridley HRA or its governing body • members, officers, agents, or employees, provided that the foregoing indemnification shall not be effective for any actions of the Fridley HRA that are not contemplated by this Agreement. The Fridley HRA acknowledges that it is has sole responsibility for paying all amounts due to various parities servicing the North Metro Home and Garden Fair. The Fridley HRA agrees that the$2,000 paid by the Mounds View EDA pursuant to this agreement will be used solely for the purposes of planning, advertising and executing the North Metro Home and Garden Fair. The Fridley HRA further agrees to refund any portion of the$2,000 that is generated through revenues from the North Metro Home and Garden Fair on a pro-rata basis among the participating cities. If no revenues are generated from the North Metro Home and Garden Fair, the Mounds View EDA acknowledges that it will not be refunded any portion of the$2,000 paid to the Fridley HRA.
