Call to Order: The meeting was called to order at 6:08 p.m. by Chairperson, Delane Welsch. Commissioner Peg Mountin volunteered to take the minutes for the meeting. 2. Roll Call: Members present were as follows: Rosemary Goff, Peg Mountin, Dan Nelson, and Delane Welsch. In addition, Economic Development Coordinator Cathy Bennett was present. Members not present were Mark Malone, Ron Schmidt, and Phil Seipp. • 3. Approval Of Minutes: Motion/Second: Goff/Nelson to Approve Minutes of EDC Meeting, August 25, 1994. 4 ayes 0 nays Motion Carried 4. EDC Business A. Consideration of Agenda Format Coordinator Bennett reported that the attached format was designed to allow the recording secretary duties to be uniform. Motion/Second: Nelson/Goff to approve acceptance to agenda format for recording secretary duties. 4 ayes 0 nays Motion Carried B. Discussion of Business Retention Program 1. Coordinator Bennett referenced the attached list of Mounds View companies. Those circled are complete and the remaining are ranked by priority of having a representative attend the meeting. Bennett reported that the ranking was based on her knowledge of • companies that have had issues with the City, were larger manufacturing companies and those that may have a potential for becoming more involved with economic development 1 activities. Coordinator Bennett asked EDC members to review the list and indicate any interviews they would like to attend. 2. Coordinator Bennett gave a summary on the"red flag" reports. In general, retail companies had issues with the sign requirements, there were a few companies who may need more space for expanded facility that is not available within the City and several indicated that the City should consider the implications on businesses of proposed tax increases and new fees. 3. Coordinator Bennett mentioned that a meeting was called to address the interview procedures with Community Resource Partnership. EDC member Malone attended the meeting along with City Administrator, Samantha Orduno. All the issues were discussed and assurance was given that the concerns would be immediately addressed. No action was taken or needed on this item. C. Consideration of Highway 10 Redevelopment Plan Vision and Action Steps. There was a request to table this item until more of the Commission members were present. Motion/Second: Nelson/Goff, to Table Consideration of Highway 10 Redevelopment Plan Vision and Action Steps 4 ayes 0 nays • Motion Carried Commissioner Mountin noted that the Mounds View Comprehensive Plan mentions the development of Highway 10 Corridor and requested that those sections be distributed to all Commission members in the next packet. D. Consideration of Highway 10 Inventory Format. Commissioner Mountin requested an amendment to the format changing the category "Property Constraints" to "Property Issues & Opportunities" and adding a category to indicate if the property is for sale or in the process of expansion. Motion/Second: Mountin/Goff, to Accept the Amended Format for Inventory of Highway 10. 4 ayes 0 nays Motion Carried 5. Other Business: MCDA Commercial/Industrial Development& Small Business Assistance Programs: Coordinator Bennett reported that there are several programs that the Minneapolis Community Development Agency offers. The structure of some of these programs may be worthwhile to implement for Mounds View. Motion/Second: Mountin/Nelson to table discussion of this item until there is better business representation present at the meeting. . 4 ayes 0 nays Motion Carried 2 • • Economic Development Bylaws and List of Members: These documents were requested at the August 25, 1993 meeting and is informational only. Establishment of Marketing Task Force: Coordinator Bennett reported that the EDA established a Marketing Task Force and is accepting applications for participation from both residents and business representatives. The Marketing Task Force will meet for three to four months to develop a marketing plan for the City of Mounds View. Chairman Welsch suggested a joint meeting of the EDC and Marketing Task Force once members are appointed. 6. Reports From Chair and Commissioners: Commissioner Mountin requested that the agendas and staff reports be three hole punched and if the entire Commission could have three ring binders to keep packets organized. Coordinator Bennett will provide for the next meeting. 7. Call to Order: The meeting was called to order at 6:12 p.m. by City of Mounds View Economic Development Coordinator, Cathy Bennett, since there was not an elected Chairperson or Vice-Chairperson at the time. 2. Roll Call: Members present were as follows: Rosemary Goff, Mark Malone, Peg Mountin, Dan Nelson, Ron Schmidt, Phil Seipp, and Delane Welsch. In addition, EDA liaison Gary Quick and Economic Development Coordinator Cathy Bennett were present. • 3. Approval Of Minutes: There were no minutes for approval. 4. EDC Business A. Election of Chairperson, Vice Chairperson and Secretary. Member Delane Welsch was nominated to serve as EDC Chairperson and member Ron Schmidt was nominated to serve as EDC Vice-Chairperson for 1994. It was proposed that Secretary duties be voluntarily rotated by members of the Commission at each EDC meeting. 7 ayes o nays Motion Carried B. Consideration of Resolution EDC94-1 Establishing Calendar of Meeting Dates for 1994. Coordinator Bennett explained that according to Municipal Code Chapter 408.07, Subdivision 2, the Commission shall hold one regular meeting a month to be fixed by resolution. Commissioner Mountin noted that the Planning Commission typically adds a submission date for materials from the public to allow staff enough time to prepare the agenda and • it would be appropriate to have a submission date for the EDC as well. 1 Commissioner Nelson made a motion, Commissioner Mountin seconded, to approve • Resolution EDC94-1 with the amendments to move the December 22, 1994 meeting date to December 17, 1994 and add a submission deadline, to be determined by staff, for public information. 7 ayes 0 nays Motion Carried C. Consideration of Resolution EDC94-2 Approving the Adoption of Economic Development Commission Bylaws. Coordinator Bennett noted that per the Municipal Code Chapter 408.07. Subdivision 6, Bylaws outlining the governance of the Economic Development Commission shall be adopted at the first regular meeting of the Commission and reviewed annually. A motion was made by Commission'Nelson, and seconded by Commission"Mlountin, to approve Resolution EDC94-2 Adopting the Economic Development Commission Bylaws. 7 ayes 0 nays Motion Carried D. Consideration of Approval of the Economic Development Commission 1994 Mission Statement and Work Plan. Coordinator Bennett presented eight action steps for the Commission to focus on in 1994 • concerning economic development activities in the City. Commissioner Mountin presented a draft mission statement for the Economic Development Commission to introduce the 1994 work plan. It was requested that each of the action steps start with the preface of"Begin", "Evaluate" or"Initiate"where appropriate because many of the items will be carried over to 1995 since there are four months left in 1994. It was requested to add an action item to ensure that the Mounds View public is kept aware of the EDC activities and input is encouraged. Commissioner Mountin made a motion, and Chairman Welsch second, to accept the mission statement as presented and accept the 1994 work plan adding a preface to each action step and adding action step nine encouraging communication between the Commission and the public. 7 ayes 0 nays Motion Carried E. Discussion Regarding Mounds View business interviews of the North Metro Business Retention and Development Commission Program. Coordinator Bennett reported all of the businesses will be surveyed and interviewed as part of North Metro Business Retention and Development Commission to collectively evaluate the needs and future growth of businesses in the North Metro area. Bennett has participated in a select few interviews and was not very satisfied with the professionalism 2 of the interview procedure. Commissioner Malone, who was interviewed for the program, was dissatisfied with the lack of knowledge of the interviewer and the leading questions that were made. Commissioner Malone suggested that all interviews be put on hold and a meeting between staff and the Directors of the program be set to discuss the interview procedure. Commissioner Malone requested a list of businesses that completed the interviews process and those businesses that have yet to be interviewed to be provided at the next meeting for discussion. Chairman Welsch made a motion, Vice Chair Schmidt seconded, directing staff to set a meeting with the directors of the Program to indicate that the interview process may be causing problems in the business community and an acceptable strategy be immediately developed. 7 ayes 0 nays Motion Carried 5. Other Business: The following information was presented to the Commission for discussion. Open Meeting Law: Coordinator Bennett explained that when a quorum, 4 or more, of the members are together that business can be transacted and the "meeting" must be made public. EDA Powers: Coordinator Bennett noted that the attached State statute outlines the powers of an Economic Development Authority. Commissioner Mountin asked if the Authority was incorporated. • Bennett was not sure but would find out for the next meeting. Commissioner Goff requested a copy of the Economic Development Authority bylaws and list of members for the next meeting. Characteristics of Gas Station Property on Hwy. 10 were presented by Coordinator Bennett. The owner of the property has indicated that the sight is in the process of being cleaned up. The contamination clean up system is installed and all the required tests are being done and filed with the Minnesota Pollution Control Agency. It is expected that the property will be fully clean in 3 years. 6. Reports From Chair and Commissioners: Chairman Welsch mentioned that he received a notice for a meeting regarding the future of the Arsenal on August 30, 1994. Coordinator Bennett said that City Council members and City staff will be attending the meeting. 7. The attached form provides an area to fill in the blanks for each item that appears on the agenda. Staff Memo To: Economic Development Commission Members From: Cathy Bennett, Economic Development Coordinator Date: September 15, 1994 Agenda Item: Report on Business Retention & Development Program • At the request of the Commission, City Administrator, Samantha Orduno, Mark Malone and I met with the directors of the Community Resource Partnership who are the consultants managing the North Metro Business Retention and Development Program for the Retention and Development. A very clear message was relayed regarding the dissatisfaction with the interview process and, in particular, the actions of one interviewer. The following process was outlined: * The interviewer in question will not participate in Mounds View interviews. * The City of Mounds View will rank all remaining companies on the basis of importance of attendance by either City staff of an EDC Commission member. * City staff will meet with the interviewers and educate them on the importance of the program to the City, the history of the business climate in Mounds View and the future vision of the community (Focus 2000). * A message will be given to each interviewer that at least one day notice shall be given to City staff regarding appointments. City staff will try to understand the circumstances that may not allow this to happen and work within those constraints. In addition, attached is a list of Mounds View businesses. Those interviews that have been completed are circled and those that have been sent surveys are stared. A number next to each company represents the level of priority that the City places on attending the interview due to either size of business or past relationship with the company. An updated list on completed interviews will be provided at the Commission meeting. Also, I have included those "red flags" that were uncovered from either the survey or the interview and the action that has been taken or is proposed. I think it may be helpful to come up with a vision statement that the can use as a guideline when preparing the redevelopment plan for highway 10. The vision statement is what you would like the direction of the plan to be. In other words, in the perfect world, what does the community want Highway 10 to develop into? What will its purpose be to the community? You do not always meet your vision but rather it is something to aspire to. To develop the vision statement we need to review the goal and action steps that were developed in the Focus 2000 Strategic Planning Session. I have included the Focus 2000 Implementation Plan for your review. Highway 10 is addressed on page 16 under Goal #7. We will collectively develop a vision statement at the EDC meeting. Review MCDA Commercial/Industrial Development & Small Business Assistance Programs: In the future it will be important to develop some business programs for the attraction and retention of targeted industries for Mounds View. The attached outlines some of the programs offered by the Minnesota Community Development Agency for the City of Minneapolis. Not all of these programs would apply to Mound View but they are a good start in researching potential structuring of an incentive program. These items are for discussion and no action is required at this time. B. Economic Development Authority Bylaws and List of Members Per your request, attached is the Economic Development Authority Bylaws and list of members. The EDA is a seperate corporation that holds seperate office and has seperate functions and powers of the Council. The Bylaws were amended to develop a consistent meeting day. The Authority has a work session in conjunction with the Council work session on the first Monday of each month. EDA meetings are held on the second Monday of each month after the Council meeting. C. Establishment of a Marketing Task Force For your information, another Focus 2000 recommendation was to increase the image of the City of Mounds View to both new and current residents and businesses. To accomplish this, it was determined to establish a community driven Marketing Task Force. The adoption of the task force was approved on by the EDA on Sept. 12th. The City is accepting applications to serve on the task force. If you have anyone in mind that has a marketing background let me know. THE AUTHORITY Section 1.1 Name of Authority The name of the Authority shall be the Mounds View Economic Development Authority (hereinafter, the "Authority") and its governing body shall be called the Board of Commissioners (hereinafter, the "Board" or the "EDA"). Section 1.2 Office - The offices of the Authority shall be the Mounds View City Hall located at 2401 Highway 10, Mounds View, MN 55112. Section 1.3 Seal of Authority 411) The Authority shall have an official seal, as required by Minnesota Statutes, Section 469.096, Subdivision 1. ARTICLE II. ORGANIZATION Section 2.1 Officers The officers of the Authority shall be a President, a Vice-President, a Secretary, an Executive Director/Assistant Treasurer, a Treasurer and a Clerk. The President, the Vice- President, and the Secretary shall be members of the Board. No Commissioner may serve as President and Vice-President at the same time. The offices of Executive Director/Assistant Treasurer, Treasurer and Clerk need not be held by a Commissioner. Section 2.2 President The President shall preside at all meetings of the EDA. Section 2.3 Vice-President The Vice-President shall perform the duties of the President in the absence or incapacity of the President; and in case of the resignation or death of the President, the Vice- President shall perform such duties as are imposed on the President until such time as 0 the Board shall select a new President. Section 2.4 President Pro Tern In the event of the absence or inability of the President and the Vice-President at any meeting, the Board may appoint any remaining Commissioner as President Pro Tern to preside at such meeting. Section 2.5 Secretary In the absence of the Clerk, the Secretary shall keep minutes or cause to be kept minutes of all meetings of the Board and shall maintain or cause to be maintained all records of the EDA. The Secretary shall also have such additional duties and responsibilities as the Board may from time to time and by resolution prescribe. Section 2.6 Treasurer The Treasurer shall receive and be responsible for Authority money, shall disburse Authority money by check only, keep an account of all Authority receipts and disbursements and the nature and purpose relating thereto, shall file the Authority's financial statement with its Secretary at least once a year as set by the Authority. Section 2.7 Executive Director/Assistant. Treasurer 111111 The Executive Director shall be appointed byresolution and shall serve at the pleasure Pp of the Board, shall be the chief appointed executive officer of the Authority and have general supervision over the administration of its business affairs, subject to the direction of the EDA. The Executive Director shall also serve as the Assistant Treasurer and shall have all the powers and duties of the Treasurer if the Treasurer is absent or disabled. The Executive Director shall have such additional responsibilities and authority as the Board may from time to time by resolution prescribe. Section 2.8 Clerk The Clerk shall be appointed by resolution of the Board and shall be the official recording officer of the Authority and the Board. The Clerk shall be responsible for recording and maintaining accurate records of the meetings of the Board and of all official actions taken by or on behalf of the Authority. Section 2.9 Additional Duties The Officers of the Authority shall perform such other duties and functions as may from time to time be required by the Board, the by-laws, rules or regulations established by the Board. Section 2.10 Additional Personnel • The Board may from time to time employ such personnel as it deems necessary to exercise its powers, duties and functions. The selection and compensation of such personnel shall be determined by the EDA in accordance with State law. Section 2.11 Advisory Committees The Authority may by resolution establish one or more advisory committees to the Authority. ARTICLE III. PROCEDURES OF BOARD OF COMMISSIONERS Section 3.1 Election, Term of Office, and Qualifications The President, Vice-President, and Secretary shall be elected annually at the first meeting of the year and shall be duly elected members of the Mounds View City Council. Section 3.2 Vacancies Should the office of President, Vice-President or Secretary become vacant, the EDA shall elect a successor from its membership at the next regular meeting, and such election shall be for the unexpired term of said office. When the office of Treasurer, Executive Director/Assistant Treasurer or Clerk becomes vacant, the EDA may appoint a successor. Section 3.3 Quorum Three (3) Commissioners shall constitute a quorum for the purpose of conducting the business of the EDA and exercising its powers and for all other purposes, but a smaller number may adjourn from time to time until a quorum is obtained. When a quorum is in attendance, action may be taken by the Board upon a vote of a majority of the Commissioners present. Section 3.4 Manner of Voting The manner of voting on all questions coming before the EDA shall conform to the procedures applicable to the Mounds View City Council and may be by voice or roll call. Section 3.5 Order of Business At the regular meetings of the EDA, the following shall be the order of business: 1. Roll Call 2. Approval of Agenda 3. Approval of minutes 4. Approval of consent agenda 5. Bills and Communications • 6. Hearings 7. Commission Business 8. Reports 10. Adjournment Section 3.6 Adoption of Resolutions Resolutions of the Board shall be deemed adopted if approved by not less than a simple majority of all Commissioners present, unless a different requirement for adoption is prescribed by law. Resolutions may, but need not be, read aloud prior to vote taken thereon and may, but need not be, executed after passage. ARTICLE IV. MEETINGS Section 4.1 Annual Meeting The annual meeting of the Board shall be in conjunction with the date of the first City Council meeting of each year. Section 4.2 Regular Meeting 111 The Board shall hold regular meetings on the 2nd Monday of each month immediately following the regular scheduled City Council meetings. The Board shall discuss EDA business in conjunction with the regular City Council work session which is scheduled for the 1st Monday of each month at 7:00 p.m. Section 4.3 Special Meetings Special meetings of the Board may be called by the President or, in the event of the President's absence or instability, by the Vice-President at any time, upon 2 days notice to all Commission and Board members. Upon the same notice, special meetings of the Board may also be called by any two Commissioners. The Clerk shall post notice of any special meeting in the principal office of the Authority as may be required by law. At special meetings no business shall be considered other than as designated in the call, but if at least four members of the Board are present at a special meeting, any and all business may be transacted at such special meeting. Section 4.4 Rules of Order The meetings of the Board shall be governed by the most recent edition of Robert's Rules of Order. ARTICLE V. MISCELLANEOUS • Section 5.1 Fiscal Year • The fiscal year of the Authorityshall be the calendar year. Section 5.2 Treasurer's Bond The Treasurer shall give bond to the state conditioned for the faithful discharge of official duties. The bond must be approved as to form and surety by the Authority and filed with the Secretary and must be for twice the amount of money likely to be on hand at any one time as determined at least annually by the Authority, provided, however, that said bond must not exceed $300,000. Section 5.3 Checks An Authority check must be signed by the President, Treasurer and Executive Director/Assistant Treasurer. The check must state the name of the payee and the nature for which the check issued. Section 5.4 Financial Statement The Authority shall examine the financial statement together with the treasurer's vouchers, which financial statement shall disclose all receipts and disbursements, their nature, money on hand and the purposes to which it shall be applied, the Authority's credits and assets and its outstanding liabilities. If the Authority finds the financial statement and treasurer's vouchers to be correct, it shall approve them be resolution. Section 5.5 Report to City The Authority shall annually, at a time designated by the City, make a report to the City Council giving a detailed account of its activities and its receipts and expenditures for the preceding calendar year. The Authority shall make available all records necessary to conduct an audit of the Authority's finances. Section 5.6 Budget to City The Authority shall annually submit its budget to the City in accordance with City policies and budget schedules. The budget shall include a written estimate of the amount of money needed by the Authority from the City in order for the Authority to conduct business during the upcoming fiscal year. Section 5.7 Services The Authority may contract for the services of consultants, agents, public accountants and others as needed to perform its duties and to exercise its powers. The Authority may also use the services of the City Attorney or hire a general counsel, as determined by the Authority. Section 5.8 Supplies, Purchasing, Facilities and Services • The Authority may psupplies the and materials it needs. The Authority may use the facilities of the City's purchasing department. The City may furnish offices, structures and space, stenographic, clerical, engineering and other assistance to the Authority. Section 5.9 Execution of Contracts All contracts, notes, and other written agreements of instruments to which the Authority is a party or signatory or by which the Authority may be bound shall be executed by the President and the Executive Director. If the Executive Director is absent or otherwise unable to execute a document, the Treasurer may execute the document. ARTICLE VI Section 6.1 Indemnification The EDA shall be authorized to the fullest extent permitted by law to indemnify any person against expenses and liabilities arising by reason of the fact that the person is or was a Commissioner, officer, employee, or agent of the EDA. Section 6.2 Insurance 411 The EDA may purchase and maintain insurance on behalf of any indemnified person in the person's official capacity against any liability asserted against that person and incurred by that person in such capacity whether or not the EDA would have been required to indemnify the person against the liability under 6.1 hereof. ARTICLE VII Section 7.1 Amendments to By-laws These bylaws shall be amended only with the approval of at least three (3) of the members of the EDA at a regular or special meeting.
