EDA BUSINESS 6 7 A. Resolution 13-EDA-278 Authorizing and Approving the Authority’s 8 Purchase Offer for the Property located at 2394 County Road 10, Mounds 9 View, Ramsey County, Minnesota, and Approval of the Terms and 10 Conditions and Purchase Agreement. 11 12 Economic Development Specialist Steinmetz indicated the revitalization of the County Road 10 13 corridor was a priority of the Authority for 2013. She recommended the Authority authorize and 14 approve the purchase of the property located at 2394 County Road 10 while also approving the 15 terms and conditions of the Purchase Agreement. She reviewed several minor revisions in the 16 Purchase Agreement indicating the expiration date was changed from June 10 to June 13. The 17 purpose of this purchase would be to assemble several parcels for redevelopment while also 18 removing blight along the corridor. 19 20 Commissioner Meehlhause questioned who would be responsible for cleanup of the site if 21 environmental concerns were found. Executive Director Ericson explained the chain of title 22 would be subject to cost recovery. 23 24 Commissioner Meehlhause asked if an appraisal would be completed on the property. Executive 25 Director Ericson stated an appraisal would not be completed due to the fact the bank has 26 accepted the City’s offer, and it was Staff’s opinion the City was not over paying for the property. 27 28 Commissioner Meehlhause inquired if the property had any special assessments or outstanding 29 real estate taxes. Executive Director Ericson commented the property had not special or pending 30 special assessments. Economic Development Specialist Steinmetz indicated the property taxes 31 for this property were up to date. 32 33 Commissioner Hull questioned how the EDA would fund the purchase of the property. 34 Economic Development Specialist Steinmetz explained the funds would come from the EDA’s 35 unobligated TIF funds. 36 37 President Flaherty fully supported the purchase. 38 39 MOTION/SECOND: Gunn/Meehlhause. REPORTS 5 6 Economic Development Specialist Steinmetz reported the EDA allocates a small amount of 7 funds to Economic Development advertising each year. She reviewed a recent ad that was placed 8 in an annual publication stating it highlighted the City’s annual celebrations, along with Festival 9 in the Park. 10 11 9. Review and Approval of Closing and Transaction Issues Related to 2400 40 County Road H2, Mounds View Minnesota. 41 42 City Attorney Riggs updated the EDA on the closing of this property. He indicated the property 43 was scheduled to close on June 10th. On June 10th the City was made aware of a law suit that 44 was being filed that would affect the title of the property through a lis pendens. He explained he 45 Mounds View EDA June 24, 2013 Regular Meeting Page 2 has contacted the attorney representing the seller and at this time the City cannot get a clear title 1 if it were to close. He recommended the City not close on the property until the lis pendens was 2 removed. He did not have an indemnification agreement for the EDA to review at this time, but 3 recommended the EDA allow staff to continue working on the closing issues and allow the 4 closing to take place in July. 5 6 President Flaherty was in favor of having an agreement in place that would hold the City 7 harmless from the law suit. He stated if the City has not closed by July 1st, the City would be 8 responsible for the property taxes. City Attorney Riggs understood the timeline and was working 9 to close on the property prior to July 1st. 10 11 Commissioner Mueller asked how damages would be paid if the property were not to close. City 12 Attorney Riggs anticipated that the property would close; it would just be a matter of time. The 13 City may be responsible for paying property taxes for 2014 if the property was not filed as tax 14 exempt within the proper deadline. 15 16 MOTION/SECOND: Mueller/Meehlhause. To Approve the Closing and Transaction Issues 17 Related to 2400 County Road H2, Mounds View Minnesota with a 90 days extension on the 18 close date. 19 20 President Flaherty expressed frustration that the deal has now changed and the City may now be 21 on the hook for these tax dollars. 22 23 Commissioner Mueller commented the tax burden from the delay would be approximately 24 $24,000, along with additional legal fees. She encouraged staff to proceed with the sale splitting 25 the expenses 50/50 with the Seller. Even with these expenses, she wanted to see the City 26 proceed with the land purchase. 27 28 President Flaherty agreed the purchase should proceed, he just had not anticipated the closing 29 date would be shifted so dramatically. City Attorney Riggs was hopeful that the closing could 30 still take place by June 28th so long as the third party has no further delays. He then went into 31 further detail about the law suit and potential closing date. 32 33 It was the EDA consensus for staff to proceed with the closing extending the closing date up to 34 90 days. 35 36 Commissioner Mueller and Commissioner Meehlhause withdrew their motion. 37 38 8. The EDA began the process of completing this action step earlier this summer with the purchase of the former Taiko Japanese restaurant building, located at 2394 County Road 10 and the former Robert’s Sports Bar, located at 2400 County Road H2. Below is an aerial photo of the two parcels. Discussion To continue the process of achieving the Council’s action step of “eliminating blight and encouraging redevelopment and land assembly”, the EDA is considering demolishing the buildings located at 2394 County Road 10 and 2400 County Road H2.
