Resolution 04-EDA-185 Approving the Termination of the Development 38 Agreement between the Mounds View EDA and Michael Investments 39 Entered into April 26, 1999 and Cancellation of the Tax Increment Revenue 40 Note for the Building N Project. 41 42 Economic Development Coordinator Backman reviewed the Resolution with the Authority and 43 indicated that there have been some recommendations for changes which he then reviewed. 44 45 Mounds View EDA May 10, 2004 Regular Meeting Page 2 Coordinator Backman indicated that Staff recommends that the termination be contingent upon 46 the sale actually occurring. He then indicated that Staff recommends that Section 7.2 of the 47 agreement that already exists and was already agreed to remain and it is the indemnification for 48 the City that is to survive termination. 49 50 Coordinator Backman indicated that the issue of whether or not the City is to make the developer 51 payment in August 2004 arose today. He then said that he consulted the City’s TIF attorney and 52 they are of the opinion that, if the building is sold and the note terminated, the City is not 53 obligated to make the payment. 54 55 MOTION/SECOND: Gunn/Quick. To Approve Resolution 04-EDA-185 Approving the 56 Termination of the Development Agreement between the Mounds View EDA And Michel 57 Investments Entered Into April 26, 1999 and Cancellation of the Tax Increment Revenue Note 58 for the Building N Project. 59 60 Vice President Stigney indicated that he does not agree with what is happening and will not vote 61 for this. 62 63 Vice President Stigney indicated that he is concerned about the position this puts the City in. 64 65 Vice President Stigney asked whether wording could be added to require that the sale close prior 66 to August 1, 2004. 67 68 Coordinator Backman indicated that if the closing occurs after the August 1, 2004 date there is an 69 argument that could be made that the City is to make the payment. 70 71 City Administrator Ulrich indicated that, as long as this does not close, the TIF agreement 72 remains in effect and the City makes the payments. 73 74 Commissioner Marty asked what the amount of the payment is. 75 76 Coordinator Backman indicated the payment amount is approximately $24,000. 77 78 John Ryden from CB Ellis addressed the Authority and indicated that their request had been to be 79 completely released from the agreement. 80 81 Coordinator Backman indicated that there is already an indemnification clause in the document 82 that survives termination and that was previously agreed to. He then said that it applies only to 83 the time during which the building is owned by Michael Investments. 84 85 Commissioner Quick asked whether the motion included the suggested amendments. 86 87 Mounds View EDA May 10, 2004 Regular Meeting Page 3 The Motioner and Seconder agreed. 88 89 Mr. Ryden indicated that it is their position that the City is required to make the August payment 90 as it is a payment based on the May tax payment and should not be tied to the date of closing. 91 92 Ayes – 3 Nays – 2 (Marty/Stigney) Motion carried. 93 94 B. Resolution 04-EDA-186 Requesting that the City Council of the City of 95 Mounds View Call for a Public Hearing for June 21, 2004 on the Proposed 96 Adoption of a Modification to the Development Program for the Mounds 97 View Economic Development Project. 98 99 MOTION/SECOND: Marty/Gunn. To Approve Resolution 04-EDA-186 Requesting that the 100 City Council of the City of Mounds View Call for a Public Hearing for June 21, 2004 on the 101 Proposed Adoption of a Modification to the Development Program for the Mounds View 102 Economic Development Project. 103 104 Vice President Stigney indicated he feels that the City should spend some time identifying 105 parcels for redevelopment rather than amending the plan to include as many parcels as is 106 possible. 107 108 Coordinator Backman indicated that it is in the City’s best interest to have as many parcels 109 identified as is possible so that, if the opportunity for redevelopment presents itself, the City is 110 allowed to utilize TIF Funds for the project. 111 112 Vice President Stigney indicated that he is concerned about the lack of planning as well as the 113 costs associated with this. 114 115 Ayes – 4 Nays – 1(Stigney) Motion carried. 116 117 7. June 21, 2004 is NOT a scheduled meeting date, which necessitates a correction to the resolution. Discussion: It is recommended that the EDA approve a correction to Resolution 04-EDA-186 by changing the date from June 21, 2004 to June 28, 2004. The change of date for the hearing will also need to be corrected at the Council level and a n item has been placed on the Council’s consent agenda to accomplish this. Attached to this report is the revised Timeline which was presented top the EDA on May 10, 2004. Recommendation: Approve the correction to Resolution 04-EDA-186. A new resolution is unnecessary; the correction can be made by motion of the Authority. The Resolution would be corrected as indicated. May 10, 2004 City Council calls for public hearing on the proposed Modification to the Development Program for the Mounds View Economic Development Project. May 11, 2004 Modification information and maps for drafting necessary documentation sent to Ehlers & Associates. May 28, 2004 Fiscal/economic implications received by School Board Clerk and Ramsey County Auditor (at least 30 days prior to public hearing). [Ehlers & Associates will fax and mail on May 27, 2004] June 2, 2004 Planning Commission reviews Program Modification to determine if it is in compliance with City's comprehensive plan. June 14, 2004 Ehlers & Associates conducts internal review of Program Modification. June 16, 2004 Date of publication of hearing notice and map (at least 10 days but not more than 30 days prior to hearing). [Mounds View Bulletin publication deadline, June 10, 2004 – Ehlers & Associates or City of Mounds View to submit notice and map to newspaper] June 28, 2004 EDA considers the Program Modification. June 28, 2004 City Council holds public hearing at 7:00 P.M. on a Modification to the Development Program for the Mounds View Economic Development Project and passes resolution approving the Program Modification.
