Mayor Linke opened the public hearing at 7:36 p.m. Samantha Ordunof City
Administrator, explained that the purpose of establishing an Economic
Development Authority is to establish a formal, corporate entity in which
to vest the economic development opportunities and activities of the City
with a concentrated effort directed to business retention, housing
rehabilitation and redevelopment. orduno further reported that the
creation of an economic development mechanism is especially meaningful. to
the City because it will utilize all of the legal opportunities afforded
an EDA to further the economic development goals developed by the City
Council and the FOCUS 2000 groups.
orduno further explained that the process of establishing an EDA begins
with the adoption of the Enabling Resolution which is a description of
the duties and powers that the EDA will be authorized to use for economic
development activities.

Samantha orduno, City Administrator, reported that State Statutes permit
the City, by resolution, to transfer the control, authority and operation
of any project or program located within the city from the municipal
government agency the established the project or program to the EDA.
Orduno explained that Resolution No. 4533 Transferring to the Mounds View
EDA the Control, Authority, and Operation of the City's Development
Districts and Programs and the Tax Increment Financing Districts Therein
transfers the control, authority and operation of the city's three
economic development districts to the EDA.

ENABLING RESOLUTION ESTABLISHING THE MOUNDS VIEW ECONOMIC
DEVELOPMENT AUTHORITY UNDER MINNESOTA STATUTES,
SECTIONS 469.090 THROUGH 469.108
BE IT RESOLVED by the City Council (the "Council") of the City of
Mounds View, Minnesota (the "City"), as follows:
1. Recitals. The City is authorized pursuant to Minnesota
Statutes, Sections 469.090 through 469.108 (the Economic Development
Authority Act"), to establish an economic development authority for
the City, and the Council desires to do so in order to promote the
economic, commercial, housing, and industrial development and
redevelopment of the City and in order to consolidate the activities
heretofore undertaken by or on behalf of the City in those areas. The
City has caused notice of a public hearing on the establishment by the
City of an economic development authority to be published in a
newspaper of general circulation in the City once each week for two
consecutive weeks, and pursuant to such notice, a public hearing on
said question has been held by the Council on the date hereof, at
which hearing all persons desiring to present their oral or written
comments on this proposal were given an opportunity to do so.
2. Establishment of Economic Development Authority. Pursuant to
the Economic Development Authority Act, the Council hereby establishes
an economic development authority for the City, to be known as the
Mounds View Economic Development Authority (the "EDA"). The EDA shall
be governed by a board of commissioners thereof consisting of the five
members of the Council, and the term of each such commissioner of the
EDA shall coincide with that commissioner's membership on the City
Council.
3. Powers.. The EDA shall have all powers given to an economic
development authority pursuant to the Economic Development Authority
Act, as the same may be amended or supplemented.
Adopted by the City Council of the City of Mounds View,
this 28th day of March, 1994.

RESOLUTION NO. 94-EDAI
COUNTY OF RAMSEY
STATE OF MINNESOTA
RESOLUTION ORGANIZING THE MOUNDS VIEW ECONOMIC DEVELOPMENT AUTHORITY
AND ACCEPTING THE TRANSFER OF CERTAIN PROJECTS OF THE CITY, INCLUDING THE
TAX INCREMENT FINANCING DISTRICTS THEREIN
IT IS HEREBY RESOLVED by the Board of Commissioners (the "Board) of
the Mounds View Economic Development Authority (the "EDA") as follows:
1. Recitals.
(a) On March 28, 1994, the City of Mounds view, Minnesota (the
"City"), acting through its City Council, adopted a certain
enabling resolution establishing the EDA pursuant to Minnesota
Statutes, Sections 469.090 through 469.108.
(b) The City has heretofore established its Development District
Nos. 1, 2, and 3 adopted the Development Programs therefor, and
established certain Tax Increment Financing Act, presently
codified in Minnesota Statutes, Sections 469.134 and 469.174
through 469.179, respectively.
(c) Pursuant to Minnesota Statutes, Sections 469.094,
Subdivision 2, the City has, by resolution of the Council,
transferred the control, authority, and operation of the
Development Project to the EDA, subject to EDA's acceptance
thereof.
2. Adoption of Bylaws.and Appointment of Officers. The Board hereby
(1) approves the Bylaws of the EDA attached hereto as Exhibit A,
as presented for the Board's consideration, and (2) appoints and
approves the following officers of the EDA:
President: Jerry Linke
Vice -President: Phyllis Blanchard
Secretary: Diane Wuori
Treasurer: Don Brager
Executive Director/Assistant Treasurer: Samantha Orduno
Clerk: Michele Severson
3. Acceptance of Proiect Transfer. The Board hereby accepts the
transfer authorized by the City to the EDA of the control.,
authority, and operation of the Development Project. Pursuant to
Minnesota Statutes, Section 469.094, Subdivision 21 the EDA may
and shall exercise all, of the powers that the City could exercise
with respect to the Development Project, and the Board and the
EDA hereby covenant and pledged to perform the terms, conditions,
and covenants of all bond indentures and other

agreements executed for the security of any bonds and other activities
undertaken with respect to the Development Project.
