CALL MEETING TO ORDER President Mueller called the meeting to order at 8:02 a.m. 2. ROLL CALL: President Mueller, Vice President Gunn, Commissioner Bergeron Commissioner Hull, Commissioner Meehlhause, and Executive Director Zikmund. NOT PRESENT: None. 3. APPROVAL OF AGENDA MOTION/SECOND: Meehlhause/Hull. To Approve the November 4, 2019, Agenda as presented. Ayes – 5 Nays – 0 Motion carried. 4. EDA BUSINESS A. Adopt EDA Resolution 19-EDA-331 Notice of Partial Assignment of Rights Under Real Property Purchase Agreement. Executive Director Zikmund requested the EDA adopt a Resolution approving the notice of partial assignment of rights under real property purchase agreement. He explained INH/Crossroad Pointe has taken on an investment partner, GR Scherber, for this project. He reported the update to the Purchase Agreement has been reviewed by the City Attorney and was recommended for approval. It was noted the City would close on this property at 11:00 a.m. on November 4, 2019. President Mueller questioned if INH would own and manage the property after it was built. Executive Director Zikmund stated INH would remain the managing partner. MOTION/SECOND: Meehlhause/Gunn. To Waive the Reading and Adopt Resolution 19- EDA-331 Notice of Partial Assignment of Rights Under Real Property Purchase Agreement. Ayes – 5 Nays – 0 Motion carried. Executive Director Zikmund requested the EDA adopt a Resolution approving the Second Assignment, Assumption, and Amendment to Purchase and Development Agreement. He explained INH/Crossroad Pointe has taken on an investment partner, GR Scherber, for this project. He reported this document has been reviewed by the City Attorney and was recommended for approval. Ayes – 5 Nays – 0 Motion carried. C. Adoption and Approval of any other Documents Necessary for Closing. Executive Director Zikmund reported there were no other documents for the Council to adopt or approve for closing. D. General Discussion Regarding Project. Executive Director Zikmund stated he had nothing further. 5. REPORTS None. 6. NEXT EDA MEETING: Monday, November 11, 2019 at 6:00 p.m. 7.
