Assistant City Administrator Beeman requested the EDA adopt a Resolution finding the 1
structures on the Skyline Motel site to be structurally substandard and that the structures meet the 2
requirements of a Redevelopment TIF District under Minnesota State Statute. He recommended 3
this approval be contingent upon receiving the final report on the property from LHB. 4

President Mueller requested further information on the Redevelopment TIF District. Assistant 6
City Administrator Beeman explained the developer would be applying for the Redevelopment 7
TIF District. He indicated the developer would be writing a check to the City for the purchase 8
price of the property. He noted the Redevelopment TIF District would have a maximum life of 9
26 years. 10

Commissioner Meehlhause asked if it benefited one party or the other to be the applicant for the 12
TIF District. Stacie Kvilvang, Ehlers & Associates, stated it was better for the developer to be 13
the applicant because the developer would be assuming the risk. 14

Commissioner Meehlhause asked what the four substandard buildings were on the site. Assistant 22
City Administrator Beeman explained the motel was viewed as three separate buildings and then 23
there was a detached garage. 24

B. Update from City Attorney on 30’ Easement between the Skyline Motel and 28
Bio Clean Property. 29

Assistant City Attorney Anderson provided the EDA with an update on the 30’ easement 31
between the Skyline Motel and the Bio Clean property. He explained during the purchase of the 32
Skyline Motel property that the 30’ remnant remains in the names of four individuals. The City 33
has the names of these four individuals but understands the property may now be in the hands of 34
their heirs. The City will work to find these heirs and will have them sign a quit claim deed. He 35
explained the other option would be for the City to pursue a condemnation proceeding. 36

Commissioner Meehlhause questioned who was paying the property taxes for this easement. 38
Assistant City Attorney Anderson stated no property taxes were being paid for the easement. 39

Commissioner Bergeron asked if the City could pursue the quit claim deed and the condemnation 41
at the same time. Assistant City Attorney Anderson explained he was uncertain of these actions 42

could occur concurrently given the fact once a condemnation was pursued, it could not be taken 1
back. 2

President Mueller asked why this 30’ easement was important to the City. Assistant City 4
Administrator Beeman explained Bio Clean was hoping to complete an expansion project and the 5
easement was needed for this project. 6

President Mueller questioned if the easement would affect the Skyline Motel redevelopment 8
project. Assistant City Administrator Beeman reported the motel site could be redeveloped 9
without the easement property. 10

C. Resolution 19-EDA-325 A Resolution Approving Assignment, Assumption 12
and Amendment to Purchase Agreement for the Crossroad Pointe 13

Assistant City Administrator Beeman requested the EDA adopt a Resolution approving 16
assignment, assumption and amendment to the Purchase Agreement for the Crossroad Pointe 17
Development. He discussed how the planning process was taking longer than was expected. 18

Introduction:
The EDA has purchased the Skyline Motel site as a redevelopment opportunity and authorized
LHB to conduct a blight and substandard study. LHB has completed that study with a finding that
all of the buildings of the old Skyline Motel property are blight and substandard. The exception is
the garage which cannot be considered as part of the blight and substandard investigation. As a
result, the EDA must pass a resolution establishing the site as blight and substandard before any
demolition work can begin.
Discussion:
A resolution was passed at the June 24, 2019 EDA meeting that included all three parcels of the
Skyline Motel property. The final report indicates that only two parcels are considered blight and
substandard. The third parcel has a garage which cannot be included in the report. Therefore, in
order to be consistent with the final investigative report the EDA resolution 19-EDA 324 that was
passed June 24, 2019 must be disregarded and the EDA must consider a new resolution 19-
EDA-326 which recognizes and designates two of the three parcels as blight and substandard.
Kennedy and Graven has prepared the revised resolution for the EDA’s consideration confirming
the finding that the Skyline Motel site is blight and substandard. The resolution is required before
demolition can begin.
Once the resolution has been considered the developer for the proposed Holiday Inn intends to
submit a Redevelopment TIF application and staff intends to continue to cooperate with the
developer with the intent of signing a Purchase and Development Agreement. Also, once the
resolution is passed the demolition of the structures can begin.
Strategic Plan Strategy/Goal:
Create and maintain a positive business climate where businesses want to locate and remain in
Mounds View. Maximize utilization of development space and current redevelopment sites. Fill
vacant space and support redevelopment & development.
Financial Impact:
Redevelopment projects typically take a loss on the front end of the deal. However, revenues are
recovered in the long-term through property taxes, community investment, the creation of more
jobs, and an improvement to the property. There would potentially be no financial impact to the
EDA in a situation where the EDA would be able to recover the money invested into the purchase
of the property. If the EDA is successful in creating a TIF district then according to Ehler’s the
EDA can recoup their costs of the project.

RESOLUTION OF THE MOUNDS VIEW ECONOMIC
DEVELOPMENT AUTHORITY FINDING PARCELS ARE
OCCUPIED BY STRUCTURALLY SUBSTANDARD BUILDINGS
OR STRUCTURES AND MEET THE REQUIREMENTS FOR A
REDEVELOPMENT TIF DISTRICT UNDER MINNESOTA
STATUTES, SECTION 469.174, SUBD. 10
WHEREAS, it has been proposed that the Economic Development Authority for the City of
Mounds View, Minnesota, (the “EDA”), create a tax increment financing district in an area within the city
of Mounds View (the “City”) to be designated a redevelopment district as defined in Minnesota Statutes,
Section 469.174, Subd. 10 (the “TIF District”); and
WHEREAS, in order to create this type of TIF District, the EDA must make a determination that
before the demolition or removal of any substandard buildings, certain conditions exist; and
WHEREAS, the conditions found by the EDA to exist throughout the proposed TIF District are
that parcels consisting of 70 percent of the area of the district are occupied by buildings, streets, utilities,
paved or gravel parking lots, or other similar structures and more than 50 percent of the buildings, not
including outbuildings, are structurally substandard to a degree requiring substantial renovation or
clearance; and
WHEREAS, in order to deem a parcel as being occupied by a structurally substandard building,
the EDA must first pass a resolution before the demolition or removal that the parcel was occupied by one
or more structurally substandard buildings and that after demolition and clearance the EDA intended to
include the parcel within the proposed tax increment financing district; and
WHEREAS, there exists in the City on the parcels located at 4889 Old Highway 8, Mounds View,
MN, PID #’s 17.30.23.14.0001 and 17.30.23.14.0002 (collectively, the “Parcel”) a structurally substandard
building to be demolished or removed (the “Substandard Building Condition”); and
WHEREAS, a parcel is deemed to be occupied by a structurally substandard building if the parcel
was occupied by a substandard building or met the criteria of Minnesota Statutes, section 469.174,
Subd. 10(e) within three years of the filing of the request for certification of the parcel as part of the district
with the county auditor, in addition to other requirements as are required by law.
NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners for the Mounds View
Economic Development Authority that:
1. The Board has received from LHB, Inc. the “TIF ANALYSIS FINDINGS FOR 4889 OLD
HIGHWAY 8”, dated June 20, 2019 (the “Inspection Report”), finding that, based on an inspection of the
building located on the Parcel, such building was determined to be substandard under the definition set
forth in the Minnesota Statutes, Sections 469.174 to 469.1794, as amended (the “TIF Act”). Based on the
Inspection Report and other information available to the EDA, the EDA finds that the building on the Parcel
is structurally substandard to a degree requiring substantial renovation or clearance.

2. After the date of approval of this resolution, the building on the Parcel may be demolished
or removed by the EDA or the City, or such demolition or removal may be financed by the EDA, or may
be undertaken by a developer under a development agreement with the EDA.
3. The EDA intends to include the Parcel in a redevelopment TIF District, and to file the
request for certification of such district with the Ramsey County auditor within 3 years after the date of
demolition of the building on the Parcels.
4. Upon filing the request for certification of a new tax increment financing district, the EDA
will notify the Ramsey County auditor that the original tax capacity of the Parcel must be adjusted to reflect
the greater of (a) the current net tax capacity of the parcel, or (b) the estimated market value of the Parcel
for the year in which the building was demolished or removed, but applying class rates for the current year,
all in accordance with Minnesota Statutes, Section 469.174, Subd. 10(d).
5. EDA staff and consultants are authorized to take any actions necessary to carry out the
intent of this resolution.
Adopted by the Board of Commissioners of the Mounds View Economic Development Authority this 8th
day of July, 2019.

Item Title/Subject: Resolution 19-EDA-327 A Resolution Accepting Quote For
Asbestos Abatement And Site Clearing/Grading
Introduction:
The EDA has purchased the Skyline Motel site as a redevelopment opportunity and a recent
investigation revealed that there is asbestos present. The EDA intends to demolish all of the
current structures through a controlled burn. However, before the structures can be demolished
a licensed asbestos abatement contractor must remove the asbestos. Once the asbestos has
been properly removed the Fire Department can begin their training.
Three licensed asbestos abatement contractors walked through the Skyline Motel buildings and
all three have submitted quotes to remove the asbestos. Phase I is the removal of the asbestos
and Phase II is the removal of any and all debris from the site after the controlled burn, including
the removal of the septic tank and underground storm shelter. Once all debris has been removed,
the demolition contractor will fill the holes and level the site so that it is shovel ready and buildable
for next developer. Company 2 did not submit a Phase II quote in time for this meeting.

Discussion:
After reviewing all three asbestos abatement quotes and contracts staff and Kennedy & Graven
are recommending that the EDA consider resolution 19-EDA-327, a resolution accepting quote
for asbestos abatement and site clearing/grading.

RESOLUTION ACCEPTING QUOTE FOR ASBESTOS
ABATEMENT AND SITE CLEARING/GRADING
WHEREAS, the Mounds View Economic Development Authority (“EDA”) owns the
former Skyline Motel property, located at 4889 Old Highway 8, and intends to facilitate a
controlled burn of the structures located thereon; and
WHEREAS, the EDA has obtained multiple quotes for necessary pre-burn asbestos
abatement and post-burn site clearing and grading services (the “Services”); and
WHEREAS, EnviroBate, Inc. (the “Contractor”) submitted to the EDA a quote in the
amount of $149,400 to complete all of the Services; and
WHEREAS, the EDA finds and determines that entering into an agreement with the
Contractor to complete the Services for the aforementioned price, in substantially the form
presented to the EDA on this date, is in the public interest.
NOW, THEREFORE, BE IT RESOLVED by the Mounds View Economic
Development Authority (“EDA”) of the City of Mounds View, Minnesota as follows:
1. That the above-referenced recitals are incorporated into this Resolution.
2. The EDA accepts the quote from EnviroBate, Inc. to complete the Services
pursuant to a written agreement in the form presented to the EDA on this date
and, if modified, as reviewed and approved by the EDA attorney.
3. That the agreement contained in Exhibit A of this Resolution is hereby approved
and the EDA president and executive director are hereby authorized to execute
the agreement, the final form of which shall be approved by the EDA attorney.
4. Once executed, EDA staff and consultants are directed to perform the EDA’s
obligations under said agreement.

EXHIBIT A
AGREEMENT FOR SERVICES
AGREEMENT FOR
PROFESSIONAL SERVICES
This Agreement for Professional Services (this “Agreement”) is made this ___ day of July,
2019 by and between the Mounds View Economic Development Authority, a public body corporate
and politic under the laws of Minnesota (the “EDA”), and EnviroBate, Inc., a Minnesota business
corporation (the “Contractor”).
I. SERVICES TO BE PROVIDED.
The Contractor will perform building asbestos abatement, including universal waste and MSW
disposal, and post-controlled burn site clearing, including, but not limited to, removal of any and all
brick, concrete, steel, septic tank, underground storm shelter, and all other materials, and backfill and
site grading, of the Skyline Motel property located at 4889 Old Highway 8, Mounds View, Minnesota
for the EDA (the “Services”), as specified in its proposal which is incorporated into this Agreement as
Exhibit A (the “Proposal”). All services provided by the Contractor under this Agreement shall be
provided in a manner consistent with the level of care and skill ordinarily exercised by professional
consultants currently providing similar services.
II. COST OF SERVICES.
The consideration which the EDA shall pay to the Contractor in exchange for the Services shall
not exceed $149,400.00. The EDA shall make progress payments, based on monthly invoices from
the Contractor, and said progress payments shall be made within 30 days after the EDA’s receipt of
each respective statement. The statements shall contain a detailed list of project labor and the work
undertaken by the Contractor during the invoiced billing period. The Contractor shall secure the
EDA’s written approval before making any expenditures, purchases, or commitments on the EDA’s
behalf beyond those that fall within the scope of Services contained herein.
III. TERMINATION OF AGREEMENT.
The EDA may terminate this Agreement at any time for any reason or no reason at all. The
parties, by mutual agreement, may terminate this Agreement at any time. In the event of termination,
the Contractor shall only be paid for work actually completed prior to the date of termination.

IV. INDEPENDENT CONTRACTOR.
All services provided pursuant to this Agreement shall be provided by the Contractor as an
independent contractor and not as an employee of the EDA for any purpose. Any and all officers,
employees, subcontractors, and agents of the Contractor, or any other person engaged by the Contractor
in the performance of work or services pursuant to this Agreement, shall not be considered employees
of the EDA. Any and all actions which arise as a consequence of any act or omission on the part of
the Contractor, its officers, employees, subcontractors, or agents, or other persons engaged by the
Contractor in the performance of work or services pursuant to this Agreement, shall not be the
obligation or responsibility of the EDA. The Contractor, its officers, employees, subcontractors, or
agents shall not be entitled to any of the rights, privileges, or benefits of the EDA’s employees, except
as otherwise stated herein.
V. INDEMNIFICATION.
The Contractor, and any and all officers, employees, subcontractors, and agents of the
Contractor, or any other person engaged by the Contractor in the performance of work or services
pursuant to this Agreement, shall indemnify, defend, and hold harmless the EDA and its officials,
employees, contractors and agents from any loss, claim, liability, and expense (including reasonable
attorneys’ fees and expenses of litigation) arising from, or based in the whole, or in any part, on any
negligent act or omission by the Contractor, its officers, employees, subcontractors, and agents, or any
other person engaged by the Contractor in the performance of work or services pursuant to this
Agreement. In no event shall the EDA be liable to the Contractor for consequential, incidental, indirect,
special, or punitive damages.
VI. INSURANCE.
The Contractor shall maintain reasonable insurance coverage throughout this Agreement. The
Contractor agrees that before any of the Services can be performed, the Contractor shall procure at a
minimum: Worker’s Compensation Insurance as required by state law; and Commercial General Liability
in an amount of not less than $1,500,000.00 per occurrence for bodily injury or death arising out of each
occurrence, and $1,500,000.00 per occurrence for property damage. To meet the Commercial General
Liability requirements, the Contractor may use a combination of Excess and Umbrella coverage. The
Contractor shall provide the EDA with a current certificate of insurance including the following language:
“The Mounds View Economic Development Authority is named as an additional insured with respect to
the commercial general liability and umbrella or excess liability, as required by the contract. The umbrella
or excess liability policy follows form on all underlying coverages.” Such certificate of liability insurance
shall also contain a statement that such policies of insurance shall not be canceled or amended unless thirty
(30) days’ written notice is provided to the EDA, or ten (10) days’ written notice in the case of non-
payment.
VII. CONFLICT OF INTEREST.
The Contractor shall use best efforts to meet all professional obligations to avoid conflicts of
interest and appearances of impropriety.
VIII. MISCELLANEOUS PROVISIONS.

A. Entire Agreement.
This Agreement shall constitute the entire agreement between the EDA and the Contractor, and
supersedes any other written or oral agreements between the EDA and the Contractor. This Agreement
can only be modified in writing signed by the EDA and the Contractor.
B. Data Practices Act Compliance.
Data provided, produced or obtained under this Agreement shall be administered in accordance
with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13. The Contractor
will immediately report to the EDA any requests from third parties for information relating to this
Agreement. The Contractor agrees to promptly respond to inquiries from the EDA concerning data
requests.
C. Records/Inspection.
Pursuant to Minnesota Statutes § 16C.05, Subd. 5, the Contractor agrees that the books, records,
documents, and accounting procedures and practices of the Contractor, that are relevant to this
Agreement, are subject to examination by the EDA and the state auditor or legislative auditor for a
minimum of six years. The Contractor shall maintain such records for a minimum of six years after
final payment from the EDA under this Agreement. The parties agree that this obligation will survive
the completion or termination of this Agreement.
D. Choice of Law and Venue.
This Agreement shall be governed by and construed in accordance with the laws of Minnesota.
Any disputes, controversies, or claims arising under this Agreement shall be heard in the state or federal
courts of Minnesota and the parties waive any objections to jurisdiction.
E. No Assignment.
This Agreement may not be assigned by either party.
F. No Discrimination.
The Contractor agrees not to discriminate in providing products and services under this Agreement
on the basis of race, color, sex, creed, national origin, disability, age, sexual orientation, status with regard
to public assistance, or religion. Violation of any this section may lead to immediate termination of this
Agreement.
G. Agreement Not Exclusive.
The EDA retains the right to hire other additional contractors in the EDA’s sole discretion.
H. Compliance with Laws.
The Contractor shall exercise due professional care to comply with applicable federal, state
and local laws, rules, ordinances and regulations in effect as of the date the Contractor agrees to provide
the applicable services detailed in Exhibit A.

Phase II Cleanup after controlled burn: $54,000.00

EnviroBate- proposes to complete this scope in accordance with all EPA, OSHA, state and local regulations governing
asbestos control and removal.
Terms: Payment due within 30 days of invoice date (NET 30)
Acceptance of Proposal – The above prices,
