Charter Commission presented to the Mounds View City Council a proposed ordinance amending
section 7.03 of the Mounds View City Charter; and
WHEREAS, on December 21, 2021 the Mounds View City Council passed Ordinance No.
984 to enact the proposed amendment to section 7.03 of the Mounds View City Charter; and
WHEREAS, the amendment to the Mounds View City Charter becomes effective on
March 21, 2022 unless a petition requesting a referendum on the ordinance is filed by February 22,
2022; and
WHEREAS, on January 25, 2022 a petition was filed with the City Clerk and the City
Clerk has until February 4, 2022 to determine whether the petition is properly attested, whether
the petition is signed by a sufficient number of voters, and whether the petition meets applicable
Minnesota statutes and rules and Mounds View City Charter requirements; and
WHEREAS, the City Clerk has presented the findings on the examination of the petition,
has determined that the submitted petition is deficient based upon the requirements of Minnesota
Rules, part 8205.1010, and has prepared the attached notice regarding the petition.
NOW THEREFORE BE IT RESOLVED that the City Council of the City of Mounds
View hereby accepts the findings of the City Clerk and the notice attached hereto as Exhibit A.

Upon receipt of this notice you have 10 days to amend the petition to include the requisite number

Brian, Mark and I just ended a conference call with Kennedy and Graven regarding the petition.
1. We have until next Friday to respond.
2. Petioners have until February 22"d to submit petition (same original date)
3. Ramsey County Elections has reviewed and conveyed concerns (in short it is not valid)
4. Kennedy and Graven need to conduct further review after which we will convey, in a written correspondence, all
concerns specific to the petition meeting all requirements and that will occur in compliance with the statutory
deadline of no later than next Friday.
5. If a legally compliant petition is not received, or not received by the deadline of the 22"d, the Charter
automatically amends 90 days after the publication date which I believe was December 28 but I would have to
verify that. In short, it just happens; there is no way to stop that action.
6. Confirming this is an ordinance and the council does have the option to not placing it on the ballot if a valid
petition is received.

I was looking back at a MV Council meeting a year ago (February 8, 2021), specifically watching Police Chief Harder's
verbal report (7b) to the council. He refers multiple times during his report given to the council, but when looking at
the on-line packet materials provided on the city website, there is no quarterly police report included.
As I undertand it, the packet materials provided to the council, should also be provided to the public. Is the police
report different in someway and not required to be included? If not, please provide that report. I was interested in what
the Chief was saying, and wanted to read more, and could not find the report. If it is available somewhere else on the
website, please direct. I should think it should be with the meeting packet however.

Upon recommendation of the charter commission the city council may enact a charter amendment by ordinance.
Commission did this. Within one month of receiving a recommendation to amend the charter by ordinance, the city
must publish notice of a public hearing on the proposal and the notice must contain the text of the proposed
amendment. Done by Staff The city council must hold the public hearing on the proposed charter amendment at least
two weeks but not more than one month after the notice is published. Done at January 10, 2022 meeting. Within one
month of the public hearing, the city council must vote on the proposed charter amendment ordinance. Done at
January 26, 2022. The ordinance is enacted if it receives an affirmative vote of all members of the city council and is
approved by the mayor and published as in the case of other ordinances. An ordinance amending a city charter shall not
become effective until 90 days after passage and publication or at such later date as is fixed in the ordinance. Within 60
days after passage and publication of such an ordinance, a petition requesting a referendum on the ordinance may be
filed with the city clerk. Occurred January 25, 2022. The petition must be signed by registered voters equal in number to
at least five percent of the registered voters in the city or 2,000, whichever is less. Ramsey County Elections has
received petition and is in the process of validating.
The break here is mine as a function of just easier reading. The Blue highlight now becomes the discussion point.
If the requisite petition is filed within the prescribed period, the ordinance shall not become effective until it is approved
by the voters as in the case of charter amendments submitted by the charter commission, the council, or by petition of
the voters, except that the council may submit the ordinance at any general or special election held at least 60 days
after submission of the petition, or it may reconsider its action in adopting the ordinance. As far as practicable the
requirements of subdivisions 1 to 3 apply to petitions submitted under this section, to an ordinance amending a charter,
and to the filing of such ordinance when approved by the voters.
Thus, the council has the option of submitting the ordinance at the next general election — or — it may reconsider is
action.

Question on Ethics: - Several individuals have "questioned" appropriateness/ethics of commission members
advocating:
Charter Bylaws have a single provision related to vacancies
79 Section 9. Vacancies. Vacancy in an office is declared by a motion brought before the Commission
80 by any Commissioner when a member resigns or a member is absent from four consecutive regular
81 Commission meetings without being excused by the Commission. A vacancy in the office of Chair,
82 Vice -Chair, Second Vice -Chair or Secretary shall be filled by a special election by the Commission

We reviewed the Agreement between Ramsey County and the City of Mounds
View for Election Services, and have a few questions.
Under the "County Responsibilities" the only place that petitions are
mentioned is under section 4(r), which states:
"Perform all duties of the candidate filing officer, including the
acceptance of affidavits of candidacy and petitions."
As we read and interpret that sentence, it seems that the second part
of the sentence, is still related to petitions related to a candidate's
filing. It clearly is worded as an add -on to the first part of the
sentence related to candidates filings. We know that there can be
candidates who file petitions for one thing or another, like placement
on a ballot, inappropriate campaigning, etc...
This duty does not seem to encompass and include the type of petition we
submitted to the city. Please comment...
Did your responsibility to handle the examination of the petition come
from 4(r), or from elsewhere in the section of "County
Responsibilities"? If elsewhere, where specifically? What section
number?
In addition, the agreement (in General Agreements section) states that
"This Agreement ONLY applies to regularly scheduled elections." Would a
petition submitted by residents be considered regularly scheduled
elections? It does state that the county will conduct all special
elections, but a petition is not a special election, right?
Just checking to see under what part of the agreement the Ramsey
county elections office is acting upon when it takes on responsible for
issuing an opinion on a petition such as this? We are not seeing that
specified in the agreement with Mounds View. Please direct us to where
you are looking to see that responsibility in your agreement.
So sorry to bother you again with more questions, and such detailed
questions. This is a legal matter, so contracts and exact wording does

Good Evening Nyle,
Could you please clarify a few questions.
At the Dec. 13th City Council meeting, you spoke at your opening comments regarding the Charter
Language Ordinance agenda item, about MV's rank on spending compared to other MN cities. Could
you please share your souce(s) for those comments.

In addition, you stated that MV was "prevented" from hiring due to the Levy Cap. I do not believe
anything in the charter language prevents the council from hiring.
While there is no direct language anywhere in the charter specific to hiring of any staff, the levy
cap, at its current level prevents the City from hiring without deficit spending, long term that is
not fiscally responsible.
The budget is approved each year, and the council can choose to spend the budget as they see fit. The
levy does not as you state prevent any hiring, as I understand. Certainly there are limited funds, and
decision are made as to what priorities take precidence.
The General Fund expenditures have very little discretionary spending, 62% is personnel with
most of the employees covered by union agreements, 21% is contractual services — SBM FD,
Attorney, Engineer, etc, 2% is debt service, 4% is materials & supplies, 1% Fire equipment, and
4% transfer to Community Center for operations, 4% to Vehicle and Equipment fund for
equipment purchases, 1% to the EDA, and 1% to Special Projects.
In addition, Council member Hull has been commenting considerably on Social Media platforms about
the need for increased police hiring.
Two questions:
1) Has the council discussed the desire to hire more police officers?
If so, at which meeting(s)?
2) Has the council specified that the increased revenue from increasing the tax levy limit been
designated in any way toward police, as Hull seems to be implying on his social media comments,? If so,
when was this discussed specifically (dates)?

Regular office hours should actually be used to establish when the petition should be submitted. 11:59pm was the
suggested deadline if the City would accept the petition electronically but since the petitioners will have to submit ink
(or indelible pencil) signatures the petition should be submitted during regular business hours. Since the posted office
hours for City Hall are 7am - 5pm I suggest using those hours.

Since the timeline for amending the charter is established in statute the rules for calculating time in statute is the
appropriate approach.
Rules of statutory construction are found in Minnesota Statues, Chapter 645. Minn. Stat. 645.15
(https://www.revisor.mn.gov/statutes/cite/645.15) provides that the final day of a timeline cannot be a Saturday,
Sunday, or legal holiday. If final day falls on a Saturday, Sunday, or legal holiday then those days must be omitted from
the 60-day computation.
Minn. Stat. 645.44, subd. 5 (https://www.revisor.mn.gov/statutes/cite/645.44) provides that the third Monday in
February is a holiday.
Even if the timeline were one that is established in City Code, the City Code follows the rules and cannons of
construction, presumptions and miscellaneous provisions pertaining to construction contained in Minnesota Statutes,
Chapter 645 (City Code, section 10.002 (A) (2)) and the same calculation would apply.
The City is allowed to accept the petition on February 19, 20, or 21(so you could be willing to accept the petition those
days), but the deadline by which the petition must be submitted cannot be February 19, 20, or 21.

packet regarding the Ordinance number. On the agenda it is stated as ordinance # 984. However in the packet
materials (the official ordinance verbage) , it is named as ordinance # 987.
1 believe 984 to be correct, but wanted you to confirm that please.
Which is it?
2) Also, what will be the date of publishing of this ordinance. I know that the 60 days for petition starts at the date of
publishing.

the office of either or both of the councilmembers whose seats are to be decided
in the election, said vacancy shall be considered not to exist for purposes of the
election. However, if such vacancy occurs in the office of either of the other
two councilmembers, the seat shall be filled by the candidate for councilmember -
with the third highest vote total, or, in the case of two vacancies, the third and
fourth highest vote totals. Where two vacancies exist, the candidate with the
third highest total shall fill the vacancy in the office having the longest
unexpired term.
Subdivision 6. If -there are insufficient numbers of candidates in a regular
or special election to fill expiring or vacated municipal offices, the City Council
shall fill said offices by appointment until the next regular municipal election. In
the case of a de vote of -the Council, the mayor shall make said appointment.
CHAPTER 5
INI'TiATIVE, REFERENDUM AND RECALL
Section 5.01. Powers Reserved by thgPeonle. The people of Mounds
View reserve to themselves the powers in accordance with the provisions of this
Charter to initiate and adopt ordinances and resolutions, to require measures
passed by the Council to be referred to the electorate for approval or
disapproval, and to recall elected public officials. 'These powers shall be called
the initiative, the referendum, and the recall, respectively.
Section 5.02. General Provisions forJ!etitions. A petition provided for
under this chapter shall be sponsored by a committee of five registered voters of
the City whose names and addresses shall appear on the petition. k petition may
consist of one or more papers, but each separately circulated paper shall contain
at its head, or attached thereto, the information specified in sections 5.05, 5.07
or 5.08 which apply, respectively, to initiative, referendum and recall. Each
signer shall be a registered voter of the City and shall sign his/her name and
give his/her street address. Each separate page of the petition shall have
appended to it a certificate by the circulator, verified by oath, that each
signature appended thereto was made in his/her presence and that the circulator
believes them to be the genuine signature of the person whose name it purports
to be. The person making the certificate shall be a resident of the City and
registered to vote. Any person whose name appears on a petition ,may withdraw
his/her name by a statement in writing filed with the Clerk -Administrator before
said Clerk -Administrator advises the Council of the sufficiency of the petition.
Section 5.03. Determination of Spffi�Thmthcee
completed petition in the office of the Clerk -Administrator. The required number
of signers shall be at least fifteen percent for initiative and referendum, and for
recall, at least twenty-five percent of the total number of electors who cast their
votes for president at the last presidential election. Immediately upon receipt of
the petition, the Clerk -Administrator shall examine the petition as to its
sufficiency and report to the Council within ten days. Upon receiving the report,
the Council shall determine by resolution the sufficiency of the petition.

Section 5.04. DisWd:ion of Insuffifient or Irregular Petri ion. If the
Council determines that the petition is insufficient or irregular, the Clerk -
Administrator shall deliver a copy of the petition, together with a written
statement of its defects, to the sponsoring committee. The committee shall have
thirty days in which to file additional signature papers and/or to correct the
petition in all other particulars, except that, in the case of a petition for recall,
the committee may not change the statement of the grounds on which the recall
is sought. Within five days of receipt of the corrected petition, the Clerk -
Administrator shall again report to the Council. If the Council finds that the
petition is still insufficient or irregular, the Clerk -Administrator shall file the
petition in his/her office and notify the sponsoring committee. The final finding
that the petition is insufficient or irregular shall not prejudice the filing of a new
petition for the same purpose, nor shall it prevent the Council from referring the
subject matter of the petition to the voters at the next regular or special election.
Section 5.05. ILlitiatLv . ,Any ordinance or resolution may be proposed by
a petition which shall state at the head of each- page or attached thereto- the exact 7--
text of the proposed ordinance or resolution. If the Council passes the proposed
ordinance or resolution with amendments, and a majority of the sponsoring
committee do not disapprove the amended form by a statement filed with the
Clerk -Administrator within ten days of its passage by the Council, the ordinance
or resolution need not be submitted to the voters. If the Council fails to enact
the ordinance or resolution in a form acceptable to the majority of the
sponsoring committee within sixty days after the final determination of
sufficiency of the petition, the ordinance or resolution as originally proposed
shall be placed on the ballot at the next election occurring in the city. If no
election is to occur within 120 days after the filing of the petition, the Council
shall call a special election on the ordinance or resolution to be held within such
period. If a majority of those voting on the ordinance or resolution vote in its
favor, it shall become effective thirty days after adoption- unless the ordinance or
resolution specifies a later effective date.
Section 5.06. Initiativg to Amend ft-Chgner. Nothing in this chapter
shall be construed as in any way affecting the right of the electors to propose
amendments to this charter.
Section 5.07. Ref=ndgm. Prior to the date when an ordinance or
resolution takes effect, it may be subjected to referendum by a petition which
shall state at the head of each page, or attached thereto, the exact text of the
measure to be considered by the electorate. If. the petition is found to be
sufficient under the provisions of Section 5.03 of this chapter, the said ordinance
or resolution shall thereby be prevented from going into operation, and the
subject matter of the petition shall be placed on the ballot at the next election
occurring in the city. If no election is ;to occur within 120 days after the filing of
the petition, the Council shalt call a special election to be held within such
period, providing the petition has been found to be sufficient. If a majority of
the voters voting thereon favors the ordinance or resolution contained in the
petition, it shall remain in effect. If a majority of the electors voting thereon
votes against the ordinance or resolution contained in the petition, it shall be
considered repealed upon certification 'of the election results.

Section 5.08. t�l . Consideration by the electorate of the recall of any
• elected officer of the city may be initiated by petition. The petition shall state at
the head of each page, or attached thereto, a certificate stating the name of the
officer whose removal is sought, the grounds for recall, which shall be
malfeasance, misfeasance or nonfeasance in office, in not more than 250 words,
and the intention of the sponsoring committee to bring about the officer's recall.
Such petition shall be filed in the Clerk -Administrator's office prior -to
circulation. If the petition or amended petition is found sufficient under the
provisions of Section 5.03 of this chapter, the Clerk -Administrator shall transmit
it to the Council without delay, and shall also officially notify the person sought
to be recalled of the sufficiency of the petition and of the pending action. The
Council shall at its next meeting, by resolution, provide for the holding of
special recall election within ninety days after such meeting, except if any other
election is to occur within ninety day period after such meeting, the Council
may in its discretion provide for the holding of the recall vote at that time. The
Clerk -Administrator shall include with the published notice of the election the
statement of the grounds for the recall and, also in not more than 500 words, the. -
answer of the officer concerned in justification of his/her course of office. If a
vacancy occurs due to recall election, Section 4.05 herein shall apply to fill said
vacancy.

be responsible for the administration of the City. The Council shall appoint an
administrative officer to assist in the administration of City affairs. For purposes
of reference in this Charter, this administrative officer shall be referred to as the
Clerk -Administrator.

Subdivision 1. The Council may by ordinance establish City departments,
offices, and agencies and prescribe their functions. No power or duty conferred
by this Charter upon a particular office or agency shall be transferred to another.
Subdivision 2. The City Council shall hire heads of departments, and
such other and further officers and personnel as may be required to operate the
city efficiently. The City Council shall determine the qualifications thereof and
prescribe the duties to be performed by each, except as otherwise prescribed in
this Charter.
Subdivision 3. The head of departments and other officers designated by
the Council shall report in person to the Council and to the public at least once
each quarter at a regularly scheduled council meeting.

Upon review of the petition you submitted to the City of Mounds View on January 25, 2022, I
have determined that the petition is not in the proper form as required under Minnesota Rules, part
8205.1010, which has been adopted by the Minnesota Secretary Of State under Minnesota Statutes,
Section 204B.071. The Ramsey County Elections Office concurs that the petition is not in the
proper form. Since the signatures were collected in an improper manner, the number of valid
signatures cannot be determined at this time. I presented these findings to the City Council at a
Special City Council meeting on February 4, 2022. An example of the proper form is attached to
this correspondence as Exhibit A.
Upon receipt of this notice you have 10 days to amend the petition to include the requisite number
of signatures in the proper form as required by Minnesota Rules, part 8205.1010 and Minnesota
Statutes, Section 410.12 and all requirements set forth therein. If you choose to submit an amended
petition, the amended petition must be submitted to the Ramsey County Elections Office no later

Agreement Between Ramsey County
And the City of Mounds View for Election Services
This is an agreement between the County of Ramsey, through the Ramsey County Elections Office, 90
West Plato Boulevard, St. Paul, MN ("County"), and the City of Mounds View ("City") for the provision of
election services by the County ("Agreement").
1. Term
This Agreement will be in effect for the period from January 1, 2021 through December 31, 2026
("Initial Term"), unless earlier terminated pursuant to the provisions of this Agreement.
2. Renewal and Termination
This Agreement may be renewed for one additional two-year period by written agreement of the
parties, in the form of an amendment to this Agreement. An amendment for renewal of this
Agreement must be executed by all parties no later than June 1, 2026
This Agreement may be terminated by any party by written notice to the other parties no later than
June 1 of any year, effective on January 1 of the following year. Upon termination of this Agreement,
the City -owned voting equipment and materials previously owned by the City related to elections
will be returned to the City.
3. General Agreements
a) This Agreement only applies to precincts located solely within Ramsey County.
b) This Agreement only applies to regularly scheduled elections.
c) The County will conduct all special elections required by law during the term of this Agreement
on behalf of City. The costs of all special elections that are not held concurrently with a regularly
scheduled State, County or City election will be billed to the City for the actual cost realized to
conduct a special election. The City will also pay all costs applicable to any state special elections
that are not conducted on the date of a regularly scheduled City or state election.
d) If a City primary is required, the City will pay all costs applicable to the primary. The County shall
invoice the City separately for the costs of the primary.
e) The costs for Recounts for City elections will be billed separately from this agreement for the
actual costs realized.
f) The costs for Ranked Voting Reallocation for the City will be billed separately from this
agreement for the actual costs realized.
4. County Responsibilities
Except as otherwise provided in this Agreement, the County will provide all services, equipment, and
supplies as required to perform on behalf of the City and all election -related duties of the City
specified in this Agreement. These duties will include:
a) Promote and advance the strategic priorities and values of Ramsey County: People, Integrity,
Community, Equity and Leadership.
b) Recruit, train, and supervise staff to carry out the duties specified in this Agreement.
c) Conduct annual inspection of the polling places established by the City according to Minnesota
Statutes section 20413.16 in order to verify compliance with all state and federal accessibility
requirements; make suggestions about polling locations to City based on feedback from voters,
election judges, the polling location's administration, and annual surveys.
d) Pay all rental costs for the Election Day, absentee, and early voting polling places.
e) Recruit, train, assign, and pay election judges. Compensation to election judges will be in an
amount as determined by the Ramsey County Board of Commissioners.
f) Select and administer an election judge management system.
g) Procure and provide interpreter services to be available at absentee, early voting, and Election
Day locations in accordance with Section 203 of the federal Voting Rights Act.
h) Carry out the duties of the city clerk described in Minnesota Election Law regarding the
administration of the voting system and the requirements set -forth in the Joint Powers
Agreement between the County and the municipalities in Ramsey County to administer the
County's voting systems.
i) Program, layout, approve, and print the ballots for all City elections.
j) Prepare and transport all election materials to and from each Election Day, absentee, and early
voting polling place. Provide election signs, forms, supplies, voting equipment, and other related
materials for each Election Day polling place.
k) Provide on -street parking and metered parking for early voting, absentee, and Election Day
polling places.
1) Compile, audit, and report election results and election statistics for dissemination to the
appropriate canvassing boards, the public, and the media. Provide copy of election abstract to
be used by City for their canvass.
m) Provide election -related information on the County web site relating to City elections.
n) Conduct recounts for City offices and ballot questions.
o) Prepare, post, and publish notices of filing and election as required by Minnesota Statutes
sections 205.13 and 205.16. Publish, post, and provide the sample ballots as required by
Minnesota Statutes section 205.16
p) Administer all aspects of absentee voting carried out by the Clerk in Minnesota Chapter 2038,
including all in -person absentee voting activities at absentee voting locations determined by the
Ramsey County Auditor.
q) Administer campaign finance reporting and economic disclosure activities designated to the city
clerk in accordance with Minnesota Election Law.
r) Perform all duties of the candidate filing officer, including the acceptance of affidavits of
candidacy and petitions.
s) Maintain a database and prepare maps of election districts and precinct boundaries. Provide
maps in digital and print formats, available to the public.
t) Retain all election records in accordance with Minnesota Election Law and data retention
requirements.
u) Conduct civic engagement events regarding voter registration, absentee voting, election judge
recruitment, and election related civics.
v) Recruit student elections judges and teacher liaisons as part of Ramsey County's Student
Election Judge Program.
S. City Responsibilities
The City will perform the following election -related responsibilities:
a) Provide the County with an inventory list of voting equipment and election related materials,
owned by City, to be returned by the County upon termination of Agreement.
b) Conduct the canvass of election results following every City election.
c) Issue Certificates of Election in accordance with Minnesota Statutes sections 205.185 &
211A.05.
d) Attend annual pre -election meetings held by the County and complete trainings required for
state election officials as determined by the Minnesota Secretary of State.
e) Send required mailed notice of levy referendum in accordance with Minnesota Statutes section
126C.17, subd. 9(b).
f) Provide recruitment information about serving as an election judge within City and on the City's
website.
g) Provide the title and text of City questions to be placed on the ballot in accordance with
Minnesota Statutes 205.16 subd.4 or sections 205A.05, subd.3
h) As needed, identify new locations the City would prefer to use as precinct polling places on
Election Day. Annually approve polling places in accordance with Minnesota Statutes section
204B.16. Provide resolution of approved polling locations to the County by the December 31
deadline set forth in section 204B.16.
Draft, schedule, and approve all resolutions required of the City in Minnesota Election Law to
administer elections.
j) Designate a person who will be the principal contact for the County.
6. Office Space and Equipment Storage
The County will provide suitable office and warehouse space to conduct all election -related activities
and for storage of election equipment and supplies.
7. Costs and Payment
Payments to cover the costs incurred by the County in the performance of the provisions of this
Agreement for regularly scheduled elections will be made by the City in eight equal quarterly
amounts for a two-year budget period, for a total of 24 quarterly payments during the Initial Term of
the Agreement. Payments will be due on March 31, June 30, September 30 and December 31 of each
year.
The cost of election services for Regular Elections for the 2021-2022 calendar years will be
$62,529.60. The County will provide an initial cost estimate for the 2023-2024 calendar years to the
City no later than April 1, 2022, and an initial cost estimate for the 2025-2026 calendar years by April
1, 2024. Such initial cost estimates will become final if the County does not provide an updated cost
estimate by July 1 of the year the cost estimates are provided. Costs will be adjusted as necessary by
the County to account for the following factors: 1) estimated voter turnout; 2) labor contracts and
agreements for non -represented employees approved by the Ramsey County Board of
Commissioners; 3) changes in the Consumer Price Index for the Minneapolis -Saint Paul metropolitan
area, as determined by the U.S. Bureau of Labor Statistics for the previous two-year period; 4)
changes in state, federal, County, or City legal requirements, as applicable; and 5) other factors
having a significant impact on election costs.
The County will notify the City of additional costs that it will incur as a result of changes to applicable
election laws. The County will include and separately identify in any invoice for a regular election or a
special election the cost that was incurred as a result of the enactment of new election laws.

8. Voting Systems
The cost of the operation and maintenance of the voting system is not included in this Agreement
and is the subject of a separate agreement.
9. Insurance
Each party shall maintain such insurance as will protect such party from claims which may arise out
of, or result from, the party's actions under this Agreement. During the term of this Agreement, the
County and City will maintain, through commercially available insurance or on a self-insurance basis,
property insurance coverage on the voting equipment each owns, for the repair or replacement of
the voting equipment if damaged or stolen. Each party shall be responsible for any deductible under
its respective policy. Each party hereby waives and releases the other parties, their employees,
agents, officials, and officers from all claims, liability, and causes of action for loss, damage to or
destruction of the waiving party's property resulting from fire or other perils covered in the standard
property insurance coverage maintained by the parties. Furthermore, each party agrees that it will
look to its own property insurance for reimbursement for any loss and shall have no rights of
subrogation against the other parties.
10. Indemnification
Each party to this Agreement will be responsible for its own acts and omissions, and the acts and
omissions of its officials, employees, and agents, and the results thereof, to the extent authorized by
law and shall not be responsible for the acts of the other party, its officials, employees, and agents,
and the results thereof. Liability shall be governed by applicable law. Without limiting the foregoing,
liability of the parties shall be governed by the provisions of Minnesota Statutes Chapter 466 (Tort
Liability, Political Subdivisions) or other applicable law. This provision shall not be construed nor
operate as a waiver of any applicable limits of or exceptions to liability set by law. This provision will
survive the termination of this Agreement.
11. Data Practices
All data created, collected, received, maintained, or disseminated for any purpose in the course of
this Agreement is governed by the Minnesota Government Data Practices Act, any other applicable
statute, or any rules adopted to implement the Act or statute, as well as federal statutes and
regulations on data privacy.
12. Alteration
Any alteration, variation, modification, or waiver of the provisions of this Agreement shall be valid
only after it has been reduced to writing and duly signed by all parties. Any amendment must be
approved no later than June 1 of any year for implementation on January 1 of the following year.
13. Dispute Resolution
The Agreement shall be interpreted and construed according to the laws of the State of Minnesota.
All litigation regarding this Agreement shall be venued in the appropriate State or Federal District
Court in Ramsey County, Minnesota.

14. Severability
The provisions of this Agreement are severable. If any part of this Agreement is rendered void, invalid
or unenforceable, such rendering shall not affect the validity and enforceability of the remainder of
this Agreement.
15. Legal Representation
The Ramsey County Attorney's office will advise and represent the County in all election -related
matters.
16. Independent Contractor
It is agreed that nothing in this contract is intended or should be construed as creating the
relationship of agents, partners, joint ventures, or associates between the parties hereto or as
constituting the County as the employee of the City for any purpose or in any manner whatsoever.
The County is an independent contractor and neither it, its employees, agents, nor its representatives
are employees of the City.
17. Entire Agreement
This Agreement shall constitute the entire agreement between the parties and shall supersede all
prior oral and written negotiations.
