The electronic virtual meeting came to order at 6:35 PM. 2.Roll Call. Present: B. Amundsen, B. Clawson, D. Erickson, M. Munson, R. Scholl, G. Quick, R. Warren Excused: Bob J King Absent: J. Peterson Also present: Council Liaison Gary Meehlhause and City Administrator Nyle Zikmund 3.Approval of Agenda and Minutes. A. Approve Agenda. Chair R. Warren introduced Preliminary Agenda. Motion, by R. Scholl, and second, by D. Erickson, to adopt the proposed agenda. Roll call vote, B. Amundsen-aye, B. Clawson-aye , D. Erickson-aye, M. Munson-aye, G. Quick-aye, R. Scholl-aye, R. Warren-aye; all present voted aye. Motion Adopted B. Approve Minutes. Chair R. Warren asked for review of Secretary's October 29, 2020, minutes. Motion, by M. Munson, and second, by B. Clawson to accept the Minutes as presented. Roll call vote, B. Amundsen-aye, B. Clawson-aye , D. Erickson-aye, M. Munson-aye, R. Scholl-aye, G. Quick-aye, R. Warren-aye; all present voted aye. Minutes Approved. 4.Citizens Comment from the Floor. None. 5.Reports of Chair. Chair R. Warren said the City Council invited him to attend a recent meeting where they discussed the City Council's desire for the Charter Commission to review and discuss possible updates to Chapter 4 Nominations and Elections, Chapter 7 Taxation and Finances, and generally make Charter language more readable. Chair R. Warren also introduced Gary Meehlhause, who is the new council liaison. Chair R. Warren introduced City Administrator Nyle Zikmund to review Open Meeting Law. The City Administrator reviewed that Open Meeting Law does apply to the Commission. That means our meetings must be publicly posted, that as a group we should not gather as 5 or more, forming a quorum, without notice to the public (exception for social), that Commission business and discussions must occur at the public meetings. The law doesn't prevent two commissioners having a discussion outside the meetings, but not in round robin calls. Lastly, the Open Meeting Law is detailed in Minnesota Statute Chapter 13D. 6.Reports of Members. 7.Unfinished Business. Chair R. Warren again introduced the Council desire for the Commission to review three issues previously noted. Discussion reviewed Chapter 4 Nomination and Elections issue. City Administrator Zikmund also added that the Commission had finished its work on Chapter 4 Nomination and Elections in 2019 and that further work could wait on legal review response. Commissioner discussion occurred about what to review and how often to meet. Commission consensus was that Chapter 7 Taxation and Finances should be discussed and reviewed during the next couple of meetings, preferably in consecutive months. Discussion occurred for Chapter 7 discussion to be Feb 23 or March 23. Motion by G. Quick, second by R. Scholl, to meet on February 23, 2021 and March 23, 2021, for discussion of Chapter 7. Amendment was offered by R. Scholl, for March 23, 2021, and April 27, 2021, amendment was accepted by G. Quick. Roll call vote, B. Chair Warren requested the City Administrator arrange for City Finance Director Mark Beer be present at the next Commission meeting to educate the Commission on taxation and financial aspects of the city budget. 8.New Business A. Charter Commission Election of Officers. Chair R. Warren discussed that new officers are to be elected. Chair opened the floor for nominations for Chair. G. Quick nominated R. Warren for Chair. Chair Warren requested further nominations and none were offered. Chair Warren asked if we needed to vote on each position and Secretary Amundsen said that a slate of names could be considered for election or if multiple names for a position were offered then votes by position would be needed. Chair opened nomination for Vice-Chair. R. Warren nominated R. Scholl for Vice-Chair. No further nominations were offered for Vice-Chair. Chair Warren opened nominations for 2nd Vice-Chair. R. Warren nominated B. Clawson for 2nd Vice-Chair. No further nominations for 2nd Vice-Chair were offered. Chair Warren opened nominations for Secretary. B. Clawson nominated B. Amundsen for Secretary. No further nominations for Secretary were offered. Motion by G. Quick, and seconded by R. Scholl, to declare by unanimous ballot the Officer slate of Chair R. Warren, Vice-Chair R. Scholl, 2nd Vice- Chair B. Clawson, and Secretary B. Amundsen. Roll call vote occurred, B. Amundsen-aye, B. Clawson- aye , D. Erickson-aye, M. Munson-aye, R. Scholl-aye, G. Quick-aye, R. Warren-aye; all present voted aye. Motion Adopted B. Charter Commission Bylaws Review Chair R. Warren introduced the current Bylaws for review. Chair Warren asked if everyone had a chance to review the document before the meeting, no exceptions were heard. Chair Warren asked for comments. Secretary B. Amundsen indicated that only one correction was needed on Article III Meetings Section 1, requires an update of statute reference to the Open Meetings Law being in section 13D. B. Amundsen recommended a resolution be prepared for review at the next commission meeting, per Bylaws Amendment procedures. 9.Next Regular Meeting. The next Commission meeting on Tuesday, March 23, 2021, at 6:30 PM. The two items on the agenda is Chapter 7 Taxation and Finances and the Bylaws amendment. City Administrator Nyle Zikmund mentioned the Council will be recognizing Jonathan Thomas for his service and will let the Commission know when that is scheduled. 10.Adjournment: G. Quick, R.
