RESOLUTION 10096 CITY OF MOUNDS VIEW COUNTY OF RAMSEY STATE OF MINNESOTA APPROVING THE PROFESSIONAL SERVICE AGREEMENT WITH MOUNDS VIEW SCHOOL DISTRICT NO. 621 FOR THE NETWORK FIBER INSTALLED AT THE COMMUNITY CENTER WHEREAS, the Mounds View School District (ISD 621) rents the Community Center for State testing and Advance Placement Testing for Students in the School District; and WHEREAS, State standards require that the testing be completed online; and WHEREAS, ISD 621 has recently signed a long-term rental agreement with the City of Mounds to utilize the Community Center for this testing, and WHEREAS, the WiFi signal needed to be upgraded in the Community Center for the School District to effectively administer the testing; and WHEREAS, ISD 621 contracted with ARVIG and a new network fiber was installed and now the WiFi signal is adequate for their testing program, and WHEREAS, a professional service agreement will need to be approved by the City Council. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Mounds View, Ramsey County, Minnesota as follows: Approves the Professional Service Agreement with the Mounds View School District No. 621 to operate a network system in the Community Center to increase the strength of the WiFi signal in the building. 2. No City Funding is needed for this project. 3. The Mayor and City Administrator are hereby authorized and directed to execute all appropriate documents to effectuate the actions contemplated by this resolution. 4. The Mayor and City Administrator, Staff and consultants are hereby authorized and directed to take any and all additional steps and actions necessary or convenient in order to accomplish the intent of this Resolution. Adopted this 5t" day of May, 2025 Z h Lindstrom, May ATTEST: Nyle mu City Administrator (SEAL) INTERNET SERVICE AND ACCESS AGREEMENT This Internet Service and Access Agreement ("Agreement") is made as of the 1 st day of April, 2025 by and between the City of Mounds View, Minnesota, a Minnesota municipal corporation ("City"), and Mounds View Independent School District No. 621, a political subdivision of the State of Minnesota ("District"). WITNESSETH: WHEREAS, the District wishes to install internet and Wifi service ("Service") in the Mounds View Community Center ("Center"), located at 5394 Edgewood Drive, Mounds View, Minnesota 55112 for use by the District during District rentals at the Center; and WHEREAS, the City is willing to allow the District to install interriet and Wifi service in the Center for use by the District, on the terms and conditions hereinafter set forth. NOW, THEREFORE, on the basis of the premises, and the mutual covenants and agreements hereinafter set forth, the parties agree as follows: 1. The District will install the Service in the Center within 5 weeks of the date of this Agreement. The District will provide the Service, including all necessary components, all Service maintenance and repairs and cover all monthly Service operating costs for the Service installed at the Center. 2. Access to the Service by the District will be available only during the hours that the Center is open for regular business. 3. The Service will be installed in the location in the Center shown on Exhibit A, which is attached to this Agreement and incorporated herein by reference and made a part hereof. 4. The Service and all components shall be installed or caused to be installed by the District in accordance with installation specifications, including specifications as to mounting the Service and electrical connections of the Service, as shown on Exhibit B, which is attached to this Agreement and incorporated herein by reference and made a part hereof. The Service and all components including network switches, wireless access points, and related network equipment within the Center are owned and operated exclusively by the District. The District shall also be responsible for the security and maintenance of the Service. 6. The Service is intended solely for the use of District employees, students, participants in District -sponsored programs or events, and authorized guests. Any other use is prohibited without prior approval from the District. DOCSOPEMMU210\35\990341.0-1 1119/24 7. The City, its officers, agents and employees will not be responsible for any loss, theft, or damage to the Service or its components. The District shall be responsible at the District's sole expense to insure the Service and its components. In addition, before undertaking any activities at the Center, the District shall furnish the City with a certificate or certificates of insurance demonstrating that the District has obtained insurance coverage regarding the District's activities under this Agreement and showing the City as an additional named insured. Such certificate or certificates shall contain a statement that the insurance coverage shall not be changed or canceled without at least sixty (60) days prior written notice to the City. Certificates of insurance shall be signed by an authorized representative of each insurer and all coverage shall be written on policy forms and by insurers acceptable to the City. The District shall and does hereby agree to protect, defend, indemnify and hold the City, and the officers, agents, and employees of the City, harmless of and from any and all liability, loss, or damage that the City may incur under or by reason of this Agreement, and of and from any and all claims and demands whatsoever that may be asserted against the City by reason of any alleged obligations or undertakings on the part of the City to perform or discharge any of the terms, covenants, or agreements contained in this Agreement or for any claims relating in any way to the presence, placement, use, operation, maintenance or malfunction of the Service. This indemnification and hold harmless provision shall survive the execution, delivery, and performance of this Agreement. Nothing in this Agreement shall constitute a waiver or limitation of the City's immunities or limitations on liability as set forth in Minnesota Statutes, Chapter 466 or otherwise. 8. The District shall be responsible for any damages by its officers, agents, employees, or invitees caused to the Center by the installation, presence, operation, maintenance, and removal of the Service. Upon removal of the Service, the District will restore the site of the Service in the Center to its condition prior to installation of the Service. 9. This Agreement shall remain in effect until terminated by either party. The District may remove the Service at any time, whereupon this Agreement will be terminated. The obligations of paragraphs 5 and 6 shall survive termination of this Agreement. 10. The City may terminate this Agreement at any time by giving written notice to the District. Notice shall be given by United States Mail and the District shall remove the Service and restore the Center site in accordance with paragraph 5 within ten days of the City mailing such notice. 11. This Agreement shall be governed by and construed in accordance with the laws of the state of Minnesota. Any disputes, controversies, or claims arising out of this Agreement shall be heard in the state or federal courts of Minnesota, and all parties to this Agreement waive any objection to the jurisdiction of these courts, whether based on convenience or otherwise. 13. This Agreement may be executed in any number of counterparts, each of which shall constitute one and the same instrument. 14. This Agreement may be amended by the parties hereto only by written instrument executed in accordance with the same procedures and formality followed for the execution of this Agreement. 15. The parties agree that this Agreement does not constitute or create an ownership interest or lien interest in the Center. This Agreement is not saleable or assignable by the District. 16. Wherever possible, each provision of this Agreement and each related document shall be interpreted so that it is valid under applicable law. If any provision of this Agreement or any related document is to any extent found invalid by a court or other governmental entity of competent jurisdiction, that provision shall be ineffective only to the extent of such invalidity, without invalidating the remainder of such provision or the remaining provisions of this Agreement or any other related document. 17. This Agreement, together with the Exhibits attached hereto, if any, which are incorporated by reference, constitutes the complete and exclusive statement of all mutual understandings between the parties with respect to this Agreement, superseding all prior or contemporaneous proposals, communications, and understandings, whether oral or written, pertaining to the subject matter of this Agreement. 18. The District warrants that all work performed pursuant to this Agreement at the Center shall be in compliance with existing laws, ordinances, pertinent regulations, standards, and specifications of the City. 19. Each of the undersigned parties warrants it has the full authority to execute this Agreement. 20. The City and the District acknowledge that nothing contained in this Agreement nor any act by the City and the District shall be deemed or construed by the City and the District or by any third person to create any relationship of third -party beneficiary, principal and agent, limited or general partner, or joint venture between the City and the District.
