mediator shall be determined by a coin flip. The party to strike first shall also be determined by <br />coin flip. If the dispute cannot be resolved following settlement negotiations conducted with the <br />assistance of the trained mediator, the parties may then freely resort to any remedies they may <br />have at law or in equity. <br /> <br />4. Termination <br /> <br />The City of Minneapolis and City of St Anthony may at any time agree to decommission <br />the facility on terms agreeable to both. In the absence of such a decommissioning agreement or a <br />written extension of this agreement by the parties, this agreement shall terminate on December <br />31, 2065. This is estimated to approximate the useful life of the facility. If a decommissioning <br />agreement, extension agreement or other successor agreement is not reached, the City of St. <br />Anthony shall be responsible for providing and transferring to the City of Minneapolis, prior to <br />the termination of this agreement on December 31, 2065, a legal and regulatory compliant <br />stormwater facility sufficient to handle flow entering Minneapolis from St. Anthony. <br /> <br />5. Amendments <br /> <br />This Agreement may be amended only by a writing signed by all of the parties hereto. <br /> <br />6. Notice <br /> <br />Notices to the parties to this Agreement shall be given by electronic delivery, hand <br />delivery or first class mail addressed to the City of Minneapolis Director of Public Works for <br />Minneapolis and the City Manager for St. Anthony, or such other persons as the party may <br />designate. <br />135
