<br />d. “Cable Service” or “Service” means the provision of communications and/or <br />entertainment services as “Cable Service” is defined by Minn. Stat. § 238.01 et <br />seq. and 47 U.S.C § 521 et seq., as may be amended from time to time, but <br />including Institutional Network services. Cable Service shall also include any <br />video programming service for which a franchise from a local government is <br />permitted under state law. <br /> <br />e. “Cable System” or “System” means a system of antennas, cables, wires, lines, <br />towers, waveguides, or other conductors, Converters, equipment, or facilities <br />located in City and designed and constructed for the purpose of producing, <br />receiving, transmitting, amplifying, or distributing audio, video, and data. System <br />as defined herein shall not be inconsistent with the definitions set forth in Minn. <br />Stat. § 238.02, subd. 3 and 47 U.S.C. § 522(7). This definition shall include any <br />facility that is a “cable system” under federal law or a “cable communications <br />system” under state law. <br /> <br />f. “Commercial Need” or “Marketplace Need” means such need or market demand <br />which City and Grantee may jointly determine requires action or performance by <br />Grantee as specifically set forth in this Franchise. Such determination shall be <br />based upon evidence and information presented by City, Grantee and other <br />interested parties at a duly noticed public proceeding. Grantee shall have an <br />opportunity to present evidence regarding the level of market demand, the cost of <br />meeting such demand and the availability of technologies to meet such demand. <br />Any decision regarding Commercial or Marketplace Need which requires action <br />by Grantee shall not be unreasonable. <br /> <br />g. “Commission” means the North Suburban Communications Commission, a <br />municipal Joint Powers Commission. <br /> <br />h. “Converter” means an electronic device which converts signals to a frequency <br />acceptable to a television receiver of a Subscriber and by an appropriate selector <br />permits a Subscriber to view all Subscriber signals included in the service. <br /> <br />i. “Drop” means the cable that connects the ground block on the Subscriber's <br />residence or institution to the nearest feeder cable of the System. <br /> <br />j. “FCC” means the Federal Communications Commission and any legally <br />appointed, designated or elected agent or successor. <br /> <br />k. “Franchise” or “Cable Franchise” means this ordinance and the regulatory and <br />contractual relationship established hereby. <br /> <br />l. “Grantee” is Qwest Broadband Services, Inc., d/b/a CenturyLink, its lawful <br />successors, transferees or assignees. <br /> <br />26
