EXHIBIT A • <br /> FORM OF DEED <br /> THIS INDENTURE, between the HOUSING- AND REDEVELOPMENT <br /> AUTHORITY OF ST. ANTHONY, MINNESOTA, a public corporation in <br /> the City. of St . Anthony, County of Hennepin, State of . <br /> Minnesota, Grantor, and WILSON ' STREET ASSOCIATES, a Minnesota <br /> general partnership, Grantee, <br /> WITNESSETH, that Grantor, in consideration of the sum <br /> of One Dollar ($1 . 00) and other good and valuable <br /> consideration, the receipt whereof is hereby acknowledged, does <br /> hereby grant, bargain; quitclaim and convey. to Grantee, its <br /> successors and assigns, forever, all the tracts or parcels of <br /> land lying and being in the County of Hennepin and State of <br /> Minnesota described on Exhibit 1 attached hereto and made a <br /> part hereof . <br /> To have and to hold the same, together with all the <br /> hereditaments and appurtenances thereunto belonging or in <br /> anywise appertaining, to the said Grantee, its successors and <br /> assigns, subject to the following : <br /> 1 . The covenants , conditions , restrictions and • <br /> provisions of a Redevelopment Contract dated as of , <br /> 1987, entered into between Grantor and Grantee (the <br /> "Agreement" ) , which Agreement is incorporated hereby by <br /> reference . <br /> 2: Grantee shall not convey the property herein <br /> described ( "Property" ) in violation of the Agreement - or any <br /> part thereof , without the prior written consent of Grantor <br /> until a Certificate of Completion (the "Certificate") releasing <br /> Grantee from the obligations of the Agreement as to the <br /> Property has been recorded. This provision, however, shall not <br /> prevent Grantee from mortgaging the Property in accordance with <br /> the Agreement . <br /> 3 . Grantee shall promptly begin and diligently <br /> prosecute to completion the development of the Property through <br /> the construction of certain Minimum Improvements thereon (as <br /> provided in the Agreement) and- such construction shall be <br /> completed in accordance with the Agreement . <br /> .4 . Promptly after completion of the Minimum <br /> Improvements in accordance with the provisions of the <br /> Agreement , Grantor shall furnish Grantee with a Certificate in <br /> • <br />
