JOINT POWERS AGREEMENT <br /> THIS AGREEMENT, is executed this _ day of , 1988, by • <br /> (hereinafter referred <br /> to as the "Agency"). <br /> WHEREAS, the Agency, or the city in which the Agency is located, is a <br /> member of the Northern Mayor's Association, a coalition of metropolitan <br /> communities organized to promote economic development and transportation <br /> projects within the communities which comprise the Northern Mayors' Association; <br /> and <br /> WHEREAS, there has been presented to the Agency a proposal by the <br /> Northern Mayors' Association to establish an association (the "Joint Powers <br /> Agency") for the sole purpose of assembling and disseminating information <br /> concerning the communities within which the members of the Joint Powers Agency <br /> are located (which geographical area is hereinafter referred to as the "Northern <br /> Suburbs") and to promote economic development within the Northern Suburbs <br /> through the implementation of a public relations and marketing plan and related <br /> governmental relations activities; and <br /> WHEREAS, Minnesota Statutes, Section 471.59 authorizes two or more <br /> governmental units to enter into an agreement for the joint and cooperative <br /> exercise of any power common to the contracting parties; and <br /> WHEREAS, the assembly and dissemination of information concerning the <br /> Northern Suburbs and the promotion of economic development within the Northern <br /> Suburbs through the implementation of a public relations and marketing plan and • <br /> related governmental relations activities serves the Agency by enhancing the <br /> economy and general welfare of the Northern Suburbs and of the community in <br /> which the Agency is located. <br /> NOW, THEREFORE, pursuant to the authority granted by Minnesota <br /> Statutes, Section 471.59, the Agency does hereby agree that the Agency shall be a <br /> participating member in the Joint Powers Agency which shall be organized and <br /> have the powers as are set forth in this Agreement. <br /> 1. Board of Directors. The governing body of the Joint Powers Agency <br /> shall be its Board of Directors. Each member of the Joint Powers Agency shall be <br /> entitled to two (2) directors. Each director shall have one (1) vote. Each member <br /> agency shall appoint two (2) directors, one (1) of whom shall be'the City Manager <br /> or Administrator or other designee of the city in which the member agency <br /> operates. <br /> A majority of the Board of Directors shall constitute a quorum of the Board. <br /> 2. Meetings. The Joint Powers Agency shall meet on call of the <br /> president of the Board or by the Operating Committee. <br /> 3. Operating Committee. The Board of Directors shall appoint an <br /> Operating Committee. The Operating Committee shall have authority to manage <br /> the affairs and business of the Joint Powers Agency between meetings, but at all <br /> times, shall be subject to the control and direction of the Board. <br /> 1 <br />
