r , <br /> 5. Possession. Owner shall deliver possession of the • <br /> . Property to the HRA on the Date of Closing. <br /> 6 . Real Estate Taxes and Assessments . Owner is <br /> responsible for all real estate taxes due and payable on the <br /> Property in the year prior to the actual Date of Closing and <br /> prior years and all special assessments levied or assessed <br /> against the Property prior to the date hereof. The real estate <br /> taxes payable in the year of the actual Date of Closing shall <br /> be prorated between Owner and the HRA on a calendar year basis <br /> as of the actual Date of Closing. Owner shall not be <br /> responsible for any real estate taxes payable in the year after <br /> the actual Date of Closing or thereafter, nor any special <br /> assessments levied or assessed after the date hereof. <br /> 7. Inspection. The HRA and its representatives and <br /> the Redeveloper with which the HRA has contracted for <br /> redevelopment of the Property (the "Redeveloper") , and their <br /> representatives, agents and contractors, shall have the right <br /> from and after the date hereof to enter upon the Property for <br /> the purpose of examining the same and conducting such <br /> observations, tests and investigations of the Property as it <br /> may desire, so long as the HRA and the Redeveloper, and said <br /> representatives do not unreasonably interfere with the <br /> operation of the Property by Owner.- The HRA will indemnify and <br /> hold harmless the Owner from any loss, cost or damage as a • <br /> result of such entry, unless the loss, cost or damage is due to <br /> the negligence or intentionally harmful actions of the Owner or <br /> any of the representatives, agents or contractors of the Owner. <br /> 8. Representations and Warranties. Owner represents <br /> and warrants that: <br /> (a) Owner is the owner of the Property and has all <br /> requisite power and authority to execute this <br /> Agreement and the closing documents listed herein. <br /> (b) [Intentionally Omitted] <br /> (c) Owner has received no notice of the violation of <br /> any federal, state or local building, zoning, <br /> health, safety, or other law, ordinance or <br /> regulation or private restrictions relating to <br /> the Property. <br /> (d) Owner will own, on the Date of Closing, all of <br /> the Property free and clear of all liens, charges <br /> and encumbrances other than the Permitted <br /> Encumbrances . <br /> • <br /> -4- <br />
