(d) Redeveloper has received no notice or <br /> communication from any local, state or federal official that <br /> the activities of Redeveloper or HRA in the Project Area may be <br /> or will be in violation of any environmental law or regulation. <br /> Redeveloper is .aware of no facts the existence of which would <br /> cause it to be in -violation of any local, state or federal <br /> environmental law, regulation or review procedure. <br /> (e) The Soils Corrections are estimated to cost from <br /> $ to $ <br /> (f) Redeveloper is ready, willing and able to acquire <br /> the Redevelopment Property. <br /> (g) Subject to Unavoidable Delays, Redeveloper will <br /> complete the Minimum Improvements according to the Time Table. <br /> (h) Neither the execution or delivery of this <br /> Agreement, the consumation of the transactions contemplated <br /> hereby, nor the fulfillment of or compliance with the terms and <br /> conditions of this Agreement is prevented by, limited by, <br /> conflicts with, or results in a breach of, any restriction, <br /> agreement or instrument to which Redeveloper is now a party or <br /> by which it is bound. <br /> ARTICLE 3 <br /> Acquisition and Use of Redevelopment Property; <br /> Indemnity Agreement <br /> Section 3 . 1 Purchase . Redeveloper agrees to .purchase <br /> the Redevelopment Property so as to perform its obligations <br /> according to the Time Table and otherwise in accordance with <br /> this Agreement . <br /> Section 3 . 2 Use. Redeveloper ' s use of the <br /> Redevelopment Property shall be subject to all of the <br /> conditions, covenants , restrictions and limitations imposed by <br /> the Redevelopment Plan, this Agreement, the Restrictions and <br /> all applicable laws, ordinances and regulations . <br /> Section 3 . 3 Declaration of Restrictions . Redeveloper <br /> shall prepare, execute, and record on the title to the <br /> Redevelopment Property a Declaration of Covenants and <br /> Restrictions , in form approved by the HRA, which includes the <br /> Restrictions set forth on Exhibit B. <br /> Section 3 .4 Indemnity Agreement . Redeveloper shall <br /> cause the Indemnity Agreement to be executed by Vernon S. Hoium <br /> and Ursula Sheehy, and delivered to the HRA simultaneously with <br /> the execution and delivery of this Agreement by the Redeveloper . <br /> -6- <br />
