• ARTICLE 9 <br /> Events of Default <br /> Section -9 . 1 Events of Default . The following shall <br /> be "Events of Default" under this Agreement .and the term "Event <br /> of Default" shall mean, whenever it is used in this Agreement <br /> (unless the context otherwise provides) , any one or more of the <br /> following events which occurs prior to the issuance of the <br /> Certificate of Completion by the HRA under Section 4 .4 of this <br /> Agreement with respect to all of the Minimum Improvements and <br /> continues for more than 30 days after notice by the HRA to <br /> Redeveloper of such default (and the term "default" shall mean <br /> any event which would with the passage of time or giving of <br /> notice, or both, be an "Event of Default" hereunder) : <br /> (a) Failure of Redeveloper to construct or <br /> reconstruct the Minimum Improvements as required hereunder . <br /> (b) Failure of Redeveloper to furnish the <br /> Construction Plans as required hereunder . <br /> (c) Failure of Redeveloper to pay real estate taxes <br /> as required hereunder . <br /> (d) Failure of Redeveloper to observe and perform any <br /> other covenant, condition, obligation or agreement on its part <br /> to be observed or performed hereunder. <br /> (e) If Redeveloper shall admit in writing its <br /> inability to pay its debts generally as they become due, or <br /> shall file a petition in bankruptcy, or shall make an <br /> assignment for the benefit of its creditors , or shall consent <br /> to the appointment of a receiver of itself or of the whole or <br /> any substantial part of the Redevelopment Property. <br /> (f) If Redeveloper shall file a petition or answer <br /> seeking reorganization or arrangement under the federal <br /> bankruptcy laws . <br /> (g) If Redeveloper, on a petition in bankruptcy filed <br /> against it, be adjudicated a bankrupt, or a court of competent <br /> jurisdiction shall enter an order or decree appointing, without <br /> the consent of the Redeveloper, a receiver of all or <br /> substantially all of its property, or approve a petition <br /> seeking reorganization or arrangement under the federal <br /> bankruptcy laws, and such adjudication, order or decree shall <br /> not be vacated or set aside or stayed within 60 days from the <br /> date of entry thereof . <br /> -15- <br />
