BUYER AND SELLER: The undersigned (Buyer) offers to purchase certain <br /> Property(as defined in paragraph 3) at St. Anthony, Ramsey County, Minnesota from Soo <br /> Line Railroad Company, doing business as Canadian Pacific Railway (Seller). <br /> 2. ACCEPTANCE: This offer shall be void if not accepted by Seller within 90 days <br /> of its date. The accepted offer is sometimes referred to as "this agreement." <br /> 3. PROPERTY: The Property consists of the land shown in approximation on <br /> Exhibit A (the Land) and the improvements thereon (the Improvements) (collectively, the <br /> Property); provided, however, that the Improvements do not include those improvements <br /> • which are excluded from the purchase by other provisions of this offer. The legal <br /> description of the Land will be generated from the survey described in paragraph 14. <br /> 4. DEED: RESERVATIONS AND COVENANTS, BILL OF SALE: The Property <br /> will be conveyed at the closing by quit claim deed. Upon written notice from Buyer <br /> requesting same, given at least 10 days in advance of the closing, Seller will deliver at the <br /> closing a quit claim bill of sale for any personal property included in the purchase. The <br /> following reservations and covenants will be included in the deed (in these reservations <br /> and covenants, Seller is referred to as Grantor, Buyer is referred to as Grantee, and the <br /> Property is referred to as the real property): <br /> As used in this paragraph, "Appurtenant Parcel' means real estate or real estate <br /> interests which are: (a) owned by Grantor as of the date hereof.and (b) located <br /> adjacent to (though not necessarily contiguous to) the above-described real <br /> property.
