i <br /> (b) Operator shall collect and prepare any necessary returns, reports and forms for <br /> any sales, use, service or other similar taxes required to be collected in connection <br /> with the operation of the Food Service and paid directly to any governmental <br /> authority. <br /> (c) All taxes referred to in Subparagraph 5.06(a) above shall be Operating Costs, as <br /> specified in Subparagraph 6.01; provided, however, Operator shall indemnify Owner <br /> against any liability or assessment for interest or penalties arising from Operator's <br /> failure to pay or collect any taxes due in a timely manner for reasons that are within <br /> Operator's control. <br /> 5.07 Collection of Payments. Operator shall collect from customers of the Food <br /> Service all charges for the preparation and service of food, the rates of which shall be <br /> determined by Operator and approved by Owner in writing prior to implementation <br /> thereof. <br /> 5.08 Business Relations and Customer Complaints. Operator shall maintain <br /> courteous, businesslike relations with customers of the Food Service, and use its <br /> best efforts to expeditiously, courteously and equitably resolve complaints of <br /> customers relating to the Food Service. Operator shall promptly notify Owner of <br /> any major complaint made by any customer of the Food Service. <br /> 5.09 Maintenance of Premises. Operator shall cause the Premises to be maintained • <br /> in a clean and orderly manner in compliance with all applicable public health <br /> ordinances, rules and regulations, and in accordance with reasonable janitorial <br /> standards and cleaning specifications prescribed by Owner; provided, however, that <br /> Operator shall not be required to take any actions which are the responsibility of <br /> Owner pursuant to Subparagraph 6.02 hereof. Operator shall immediately notify <br /> Owner if any portion of the Premises is in need of repair by Owner pursuant to <br /> Subparagraph 6.02 hereof. <br /> 5.10 Consulting and Advising. Operator shall consult, advise and cooperate with <br /> Owner regarding the operation and marketing of the Food Service, and otherwise <br /> provide Owner with the benefit of Operator's expertise. <br /> 5.11 Notification of Injury or Damage. Operator shall notify Owner promptly of <br /> any personal injury or property damage occurring to or claimed.by any customer of <br /> the Food Service or any third party on or with respect to the Premises and shall <br /> promptly forward to Owner any summons, subpoena or other like legal document <br /> served upon Operator relating to actual or alleged potential liability of Operator or <br /> Owner arising from the Food Service. Operator shall additionally notify Owner <br /> immediately of any fire, accident or other casualty, governmental order, lawsuit or <br /> threat thereof involving the Premises.and any violations relative to the use, <br /> -6- <br />
