within said 30 day period and thereafter fails to diligently pursue said cure or if <br /> Operator fails to complete said cure within six (6) months of such breach; <br /> (d) Upon written notice to Operator if Operator shall file a petition seeking <br /> adjudication as a bankrupt or shall be adjudicated bankrupt or insolvent, or shall <br /> become a party to any proceedings involving bankruptcy, insolvency, arrangement, <br /> reorganization, receivership or similar relief against or with respect to Operator or <br /> any substantial portion of its property under any present or future law, whether <br /> voluntary or involuntary, and, if involuntary, such proceedings shall not be stayed, <br /> dismissed or vacated within 60 days after their inception; <br /> (e) Immediately, upon the damage or destruction of the Premises by fire or other <br /> casualty which shall prohibit or materially impair the operation of the Food Service; <br /> or <br /> (f) Upon not less than 90 days written notice to Operator at any time, for any <br /> reason or for no reason. <br /> 8.02. Termination by Operator. Operator shall have the right to terminate this <br /> Agreement: <br /> (a) Upon 10 days written notice to Owner in the event of a breach by Owner of its <br /> monetary obligations, if such breach is specified in such notice and is not cured <br /> within such 10 day period; <br /> (b) Upon 30 days' written notice to Owner in the event of a material breach by <br /> Owner of any of its other obligations hereunder, if such breach is specified in such <br /> notice and is not cured within such 30 day period or, if such breach cannot <br /> reasonably be cured within 30 days, if Owner fails to commence the cure thereof <br /> within said 30 day period and thereafter fails to diligently pursue said cure or if <br /> Owner fails to complete said cure within six (6) months of such breach; and <br /> .(c) Upon not less than 90 days written notice to Operator at any time, for any <br /> reason or for no reason. <br /> 8.03 Vacating the Premise. Operator, upon leaving the Premises, shall at its own <br /> expense remove all ashes, dirt, rubbish and refuse, and upon Operator's failure to do <br /> so, Owner may immediately without further notice to Operator do the same at <br /> Operator's expense, which Operator shall immediately pay upon receipt of a bill for <br /> same from Owner. <br /> 9. INDEMNIFICATION. Operator agrees to indemnify, defend, and hold <br /> Owner, Owner's Mayor, Councilmembers and employees harmless from any claims, <br /> demands, liability, loss, cost or expense incurred by reason of any negligent, willful <br /> -11- <br />
