Promptly after completion of the Project in accordance with this Agreement, Buyer will <br /> provide the Seller with a certificate of substantial completion from Buyer's architect, and the <br /> Seller will furnish Buyer with an appropriate Certificate of Completion in recordable form as <br /> conclusive evidence of satisfaction of the terms of this Agreement with respect to the obligations <br /> of Buyer to complete the Project. The furnishing by the Seller of the Certificate of Completion <br /> shall not constitute evidence of compliance with or satisfaction of any obligation of Buyer to any <br /> mortgagee. <br /> If the Seller shall refuse or fail to provide the Certificate of Completion, the Seller shall, <br /> within 15 days after the Buyer provides the architect's certificate referenced above, provide <br /> Buyer with a written statement specifying in what respects Buyer has failed to complete the <br /> Project in accordance with this Agreement, or is otherwise in default, and what measures or acts <br /> will be necessary, in the opinion of the Seller, for Borrower to obtain the Certificate of <br /> Completion. <br /> 15. Time of the Essence. Time is of the essence of this Agreement. <br /> 16. Brokers. Seller and Buyer agree and acknowledge that neither party hereto is <br /> represented by a real estate agent or broker in connection with the Agreement or the transactions <br /> contemplated hereby. <br /> 17. Survival. All representations, warranties, covenants and agreements of the <br /> parties hereto shall survive the Closing. <br /> 18. Assignment. Buyer may not assign its interest in this Agreement unless it first <br /> obtains Seller's prior written consent and further provided that Buyer and its assignee shall <br /> execute an assignment and assumption agreement in a form acceptable to Seller and such <br /> assignment shall not relieve Buyer of its liabilities hereunder. <br /> 19. Binding Effect. This Agreement shall inure to the benefit of and be binding upon <br /> the parties hereto, and their respective heirs, executors, administrators, successors and assigns. <br /> IN WITNESS WHEREOF, the parties have executed this Agreement as of the day and <br /> year first above written. <br /> 5 <br />
