02707/97 12:13 $812 935 8814 RCM ASSOCIATES 9007/015 Agreement No. PW 07-10-97 CSAH 27; C.P. 9705 xzr The City also agrees that any contract let by the City or its agents for the performance of the work on CSAH 27 as provided herein shall include clauses that will : (1) Require the Contractor to defend, indemnify, and save harmless the County, its elected officials, officers, agents, volunteers and'employees from any liability, claims, causes of action, losses, demands, damages, judgments, costs, interest, expenses (including, without limitation, reasonable attorney's fees, witness fees;, and disbursements incurred in the defense thereof) arising out of or by reason of the negligence of the said Contractor, its subcontractors, anyone directly or indirectly employed by them, and/or anyone for whose acts and/or omissions they may be liable for. (2) Require the Contractor to be an independent contractor for the purposes of completing the work provided for in this Agreement. (3) Require .the Contractor to provide and maintain insurance in accordance with the following: 1. Workers' Compensation including Employers' Liability Insurance: - Bodily Injury by Accident $100,000 each accident - Bodily Injury by Disease $500,000 policy limit/ $100,000 each employee Note: An all states endorsement is required if the Contractor is based outside the State of Minnesota. 2.
