# of Households <br /> Served Curbside Total SCORE Revenue SCORE Funds <br /> by City x Received by County Distributed <br /> Total # of Households from State of to City <br /> Served Curbside Minnesota <br /> in County <br /> The County shall pay the City an annual amount not-to-exceed $16,976. This <br /> amount is based upon previous SCORE fund amounts received by the County. <br /> Under no circumstances will the County's obligation of SCORE -monies <br /> distribution exceed the City's proportion of SCORE revenues received by the <br /> County. <br /> 2. The County receives SCORE funds twice a year from the State of Minnesota. <br /> The County intends to distribute to the City its share of SCORE funds twice <br /> a year. The first distribution of SCORE funds will be made to the City, <br /> following the receipt and approval of the City's Final Report for 1994. The <br /> second distribution will be made following the receipt and approval of the <br /> City's Semi-Annual Report for 1995. <br /> 3. Payment to the City will be made in the manner prescribed by Minnesota <br /> Statute, Section 471.425 governing the County's payments of claims and/or <br /> invoices. <br /> IV. HOLD HARMLESS AGREENEW <br /> Consistent with the specific limits, exclusions, and conditions expressed in <br /> Minnesota Statutes, Chapter 466, the City agrees to defend, indemnify, -and hold. <br /> harmless the COUNTY, its elected officials, officers, agents, volunteers, and <br /> employees from any liability, claims, causes of action, judgments, damages, <br /> losses, costs, or expenses, including reasonable attorney fees, resulting <br /> directly or indirectly from.any act or omission of the City, its subcontractors, <br /> anyone directly or indirectly employed by them, and/or anyone for whose acts <br /> and/or omissions they may be liable in the performance of the services required <br /> by this contract, and against all loss by reason of the failure of the City to <br /> . perform fully, in any respect, all obligations under this contract. <br /> V. INSURANCE <br /> . 1. In order to protect the City and those listed above under the <br /> indemnification provisions, the City agrees at all times during the term of <br /> this Agreement and beyond such term when so required, to have and keep in <br /> - .....force insurance, either under aself-ins-urance program or insurance policies <br /> as follows.. <br /> 3 <br />
