maintenance are to be shared equally by Ramsey (50%), and Hennepin (50%). Hennepin <br /> • shall reimburse Ramsey its share of the actual cost thereof. <br /> 4. Ramsey shall submit an invoice to Hennepin annually showing. its cost share, <br /> listing ail labor, equipment and Materials used to maintain the traffic control signal: <br /> Labor costs and equipment costs will be at the established rates paid by Ramsey at, <br /> the time the work is performed, and material costs will be invoiced at the actual cost <br /> thereof. Twenty-five percent (25%) of these costs will be added to the invoice, to <br /> cover Ramsey's cost for supervision and administration, in accordance with the policy <br /> for Traffic Control Signal Systems, Ramsey County Board Resolution 81-1001. Hennepin <br /> shall promptly pay Ramsey the full amount due. <br /> 5. All timing and related adjustments of the traffic control signals shall be <br /> determined by Ramsey through its traffic engineer, and no changes shall be made to <br /> these adjustments without the approval of Ramsey. <br /> 6. Upon execution by Ramsey and Hennepin and the City and completion of the <br /> • traffic control signal system with'street lights provided for herein, this agreement shall <br /> supersede and terminate Agreement No. PW 38-74-68 dated November 18, 1969 between <br /> Ramsey and Hennepin. <br /> 7. Any and all persons engaged in the maintenance work to be, performed by <br /> Ramsey shall not be considered employees of Hennepin or the City, and any and all <br /> claims that may arise under the Worker's Compensation Act of this State on behalf of <br /> those employees so engaged, and any and all claims made by any third party as a <br /> consequence of any act or omission on the part of those employees so engaged on any <br /> of the work contemplated herein shall not be the obligation and responsibility of <br /> Hennepin or the City. <br /> • <br /> 84011 <br /> 2 <br />
