VI. WITHDRAWL AND TERMINATION <br />6.01 Withdrawal <br />Any party may withdraw from this agreement upon thirty (30) days written notice to the other <br />parties. Withdrawal by any party shall not terminate this agreement with respect to any parties who <br />have not withdrawn. Withdrawal shall not discharge any liability incurred by any party prior to <br />withdrawal. Such liability shall continue until discharged by law or agreement. <br />6.02 Additional Members and Change in Membership <br />A governmental unit may join EMS and become a member upon approval by the Governing Board <br />and execution of a copy of this Agreement by its governing body. <br />The Governing Board may involuntarily terminate a member if that member has failed to provide a <br />minimum of one officer to East Metro Swat for more than 12 consecutive months. <br />6.03 Termination <br />This agreement shall terminate upon the occurrence of any one of the following events: (a) when <br />necessitated by operation of law or as a result of a decision by a court of competent jurisdiction; or <br />(b) when a majority of remaining parties agrees to terminate the agreement upon a date certain. <br />6.04 Effect of Termination <br />Termination shall not discharge any liability incurred by EMS or by the parties during the tern of <br />this agreement. Upon termination and after payment of all outstanding obligations, property or <br />surplus money held by EMS shall then be distributed to the parties in proportion to their <br />contributions. <br />6.05 Amendments <br />This agreement may be amended only in writing and upon the consent of each of the parties' <br />governing body. <br />6.06 Counterparts <br />This agreement may be executed in two or more counterparts, each of which shall be deemed an <br />original, but all of which shall constitute one and the same instrument. Counterparts shall be filed <br />with the Roseville Police Department. <br />
