Hepatitis B Agreement <br /> Page 2 <br /> vaccinated. It is understood and agreed that such compensation must be paid prior <br /> to Bloomington dispensing the vaccine. <br /> 4. Bloomington will conduct the vaccination program at designated clinic site(s) and <br /> time(s). Bloomington shall inform St. Anthony of the location of each clinic and <br /> provide a schedule for administration of the vaccine. The vaccinations will be <br /> administered by appropriate personnel. <br /> 5. Bloomington shall provide to St. Anthony a report confirming that the consenting <br /> employees of St. Anthony received the Hepatitis B vaccine on three separate <br /> occasions. <br /> 6. It shall be the responsibility of St. Anthony to insure that its employees requesting <br /> immunization utilize the available clinics at the designated times. Bloomington shall <br /> not refund any payments to St. Anthony for employees who are not vaccinated <br /> because they failed to appear at a clinic during the times when the vaccine was being <br /> • administered. <br /> 7. Except as to negligence or intentional misconduct in the keeping, handling, storage <br /> and administration of the Hepatitis B Vaccine, St. Anthony shall indemnify and hold <br /> harmless Bloomington, its officials, agents and employees from and against all claims, <br /> damages, losses and expenses arising out of or resulting from administration of the <br /> Hepatitis B Vaccine pursuant to this Agreement. The parties agree that the <br /> provisions of this paragraph shall not be construed as a waiver by either party of the <br /> liability limits contained in Minnesota Statutes, Chapter 466. <br /> To the extent that, in any situation in which the indemnity is applicable, Bloomington <br /> would have been entitled to contribution or indemnification from parties <br /> manufacturing, processing or distributing any items or material used in connection <br /> with administration of the vaccine, including the vaccine, Bloomington agrees to <br /> assign such indemnity or right of contribution to St. Anthony. <br />
