Upon execution by the County, New Brighton and St. Anthony, and completion of the work <br /> contemplated in paragraph 1 hereof for traffic control signals with street lights and signs at the intersection <br /> of Silver Lake Road and Silver Lane this agreement shall supersede and terminate Agreement, County <br /> • Board Resolution 75-161, dated February 18, 1975 between the County, New Brighton and St. Anthony. <br /> 7. Upon execution by the County and New Brighton and completion of the work contemplated in <br /> paragraph 1 hereof for traffic control signals with street lights , signs and EVP System at the intersection of <br /> Silver Lake Road and 5th Street NW this agreement shall supersede and terminate Agreement, County <br /> Board Resolution 77-1595 dated November 29, 1977 between the County and New Brighton. <br /> 8. Upon execution by the County and New Brighton and completion of the work contemplated in <br /> paragraph 1 hereof for traffic control signals with street lights, signs and EVP System at the intersection of <br /> Silver Lake Road and 7th Street NW/Forestdale Road this agreement shall supersede and terminate <br /> Agreement No. 93009, County Board Resolution 93-439 dated August 3, 1993 between the County and <br /> New Brighton. <br /> 9. Upon execution by the County and New Brighton and completion of the work contemplated in <br /> paragraph 1 hereof for EVP Systems at the intersections Silver Lake Road and County Road E; Silver <br /> Lake Road and 5th Street NW; Silver Lake Road and 7th Street NW/Forestdale Road this agreement shall <br /> supersede Agreement No. 88017, County Board Resolution 89-373 dated April 25, 1989 between the <br /> County and New Brighton. <br /> 10. Any and all persons engaged in the maintenance work to performed by the County shall not be <br /> considered employees of New Brighton or St. Anthony, and any and all claims that may arise under the <br /> Worker's Compensation Act of this State on behalf of those employees so engaged, and any and all claims <br /> made by any fourth party as a consequence of any negligent act or omission on the part of those employees <br /> so engaged on any of the work contemplated herein shall not be the obligation and responsibility of New <br /> Brighton or St. Anthony. <br /> 11. The City and County agree to indemnify each other and hold each other harmless from any and all <br /> claims , causes of action, lawsuits, judgments, charges, demands, costs, and expenses, including, but not <br /> limited to, interest involved therein and attorneys' fees and costs and expenses connected therewith, <br /> arising out of or resulting from the failure of either party to satisfy the provisions of this agreement or for <br /> damages caused to fourth parties as a result of the manner in which the City or the County perform or fail <br /> to perform duties imposed on each party by the terms of this agreement. Nothing herein shall constitute a <br /> waiver by either party of the limits or liability provided by Minnesota Statutes, Chapter 466 or other <br /> applicable law. <br /> 94013-5 <br />
