• CONTRACT <br /> This Contract made and entered into as of December 1996, by and between <br /> the CITY OF ST. ANTHONY, a municipal corporation under the laws of the State of <br /> Minnesota (the "City"), and COMPTONS COMMERCIAL CLEANING, INC., a <br /> Minnesota corporation ("Contractor"). <br /> A. The City has advertised for proposals for the work identified in the <br /> attached Exhibit A ("Specifications). <br /> B. Contractor has agreed to furnish all necessary cleaning supplies and <br /> materials, labor, tools, equipment and other items necessary to perform the work <br /> designated in the Specifications and the other Contract documents referred to (the <br /> "Work"). <br /> In consideration of the mutual agreements herein contained, it is agreed by <br /> and between the City and Contractor as follows: <br /> 1. Contractor shall furnish all cleaning supplies and materials, labor, <br /> tools, equipment and other items necessary to complete the Work at the times <br /> specified, time being of the essence, in accordance with the Specifications and other <br /> Contract documents, for the cost set forth in Section 4. <br /> • 2. The Contract documents consist of this Contract and the attached <br /> General Conditions. <br /> 3. The Work shall commence January 13, 1997 and shall continue until <br /> December 31, 1997. Thereafter this Contract shall be deemed renewed for successive <br /> one-year periods unless terminated as herein provided. Either party may terminate <br /> this Contract, with or without cause, by 30 days prior written notice to the other. <br /> 4. The City agrees to pay the Contractor for the performance of this <br /> Contract, and the Contractor agrees to accept the following amounts: <br /> For the cleaning described on Exhibit A, Contractor will be paid $144.00 <br /> per day, plus state sales tax (if any). Contractor will be paid separate fees <br /> for floor stripping and waxing and for carpet cleaning, which fees will <br /> be agreed upon in writing by the City and the Contractor prior to any <br /> such work being done. <br /> Payments shall be made twice each month for work completed, <br /> according to the City's normal pay periods. <br /> 5. The City and Contractor agree that all of the terms of this Contract shall <br /> • be binding upon the City and the Contractor and their respective successors and <br /> assigns. <br />
