City of Saint Anthony Village <br />First Amendment to Agreement for Residential Solid Waste <br />and Recycling Collection Services <br />TIIIS FIRST AMENDMENT TO AGREEMENT FOR RESIDENTIAL SOLID WASTE AND <br />RECYCLING COLLECITON SERVICES ("First Amendment") is made and entered into this <br />( ] day of [ L. 2019, by and between the CITY OF SAINT ANTHONY <br />VILLAGE, a Minnesota statutory city in Hennepin and Ramsey Counties, organized and existing <br />under the laws of the State of Minnesota ("City"), and ALLIED WASTE SERVICES OF <br />NORTH AMERICA, LLC DBA ALLIED WASTE SERVICES OF TIIE TWIN CITIES — <br />EDEN PRAIRIE // REPUBLIC SERVICES OF TILE TWIN CITIES — EDEN PRAIRIE, a <br />Delaware limited liability company ("Republic Services"); WALTERS RECYCLING AND <br />REFUSE, INC.. a Minnesota corporation ("Walters"); and WASTE MANAGEMENT OF <br />MINNESOTA, INC., a Minnesota corporation ("Waste Management") (individually and <br />collectively, "Contractor"). <br />STATEMENTS <br />WHEREAS, the parties hereto entered into an Agreement for Residential Solid Waste <br />and Recycling Collection Services ("Agreement") with an effective date of April 1. 2015: <br />and <br />WHEREAS, the Agreement at Section 10,1 sets forth a five (5) year term of the <br />Agreement, ending April 1, 2020; and <br />WHEREAS. the Agreement at Section 10.2 authorizes the parties to renew the <br />Agreement for up to an additional three (3) one-year terms. upon the mutual agreement of <br />the parties; and <br />WHEREAS, the parties have determined that it is in their mutual best interest to amend <br />the Agreement to extend the termination date for an additional one (I) year. to April 1, <br />2021; and <br />WHEREAS. the parties agree to keep all other provisions of the Agreement in force and <br />only to amend the term of the Agreement. <br />NOW. THEREFORE, in consideration of the promises and the mutual obligations of the parties <br />hereto, and other good and valuable consideration the receipt of which is hereby acknowledged, <br />the parties hereby agree to amend the Agreement as follows: <br />1. Section 10 of the Agreement is hereby amended to read as follows: <br />10 Term of Agreement. <br />10.1 Term.
