<br />“Developer” means SA Senior Living LLC, a limited liability company under the laws of <br />the State of Minnesota. <br />“Development Property” or “Property” means the real property described in Exhibit A <br />attached hereto. <br />“Eligibility Certification” has the meaning set forth in Section 2.09(b)(iv). <br />“Event of Default” means as any of the events set forth in Section 7.01 hereof. <br />“HRA” means the Housing and Redevelopment Authority of St. Anthony, a public body <br />corporate and politic organized and existing under the laws of the State. <br />“Legal and Administrative Expenses” means the fees and expenses incurred by the City <br />or HRA in connection with review and analysis of the development proposed under this Agreement <br />with the adoption and administration of the TIF Plan and establishment of the TIF District, the <br />preparation of this Agreement and the issuance of the TIF Note including, but not limited to, <br />attorney and municipal advisor fees and expenses; <br /> <br />“Mortgage” means any mortgage made by the Developer which covers, in whole or in part, <br />the Development Property. <br />“Mortgagee” means the owner or holder of a Mortgage. <br />“M.S.” means Minnesota Statutes. <br />“Project” means the 135-unit senior care facility with independent living, assisted living <br />and memory care. <br /> <br />“Public Assistance” means the Available Tax Increment to be paid under Article 5 hereof. <br />“Qualified Costs” means costs incurred by Developer in connection with construction of <br />the Project that are reimbursable from tax increment pursuant to Sections 469.174, Subd. 10 and <br />469.1761 of the TIF Act, which are shown on Exhibit C to this Agreement. The total principal <br />amount of any and all tax increment notes issued to reimburse the Developer for Qualified Costs <br />of the Project will not exceed $2,350,000. <br />“Redevelopment District” means Redevelopment Project Area No. 3, designated pursuant <br />to the Act. <br />“Redevelopment Plan” means the Redevelopment Plan developed for the Redevelopment <br />District. <br />“Restrictions” means the easements, covenants, conditions and restrictions set forth in <br />Exhibit B attached hereto. <br />“Section” means a Section of this Agreement, unless used in reference to M.S.. <br />3 <br /> <br />
