<br />D-1 <br />EXHIBIT D <br /> <br />CERTIFICATE OF COMPLETION <br />WHEREAS, SA SENIOR LIVING LLC, a Minnesota limited liability company (“the <br />Developer”), is the owner and the Developer of the property in the County of Ramsey and State <br />of Minnesota described on Exhibit A hereto and made a part hereof (the “Development Property”); <br />and <br />WHEREAS, the Development Property is subject to the provisions of a certain <br />Redevelopment Agreement (the “Agreement”) in the Redevelopment Project Area No. 3 and <br />Lowry Grove Tax Increment Financing District, dated as of [Month] 1, 2021, between the <br />Developer, Housing and Redevelopment Authority of St. Anthony, and the City of St. Anthony, <br />Minnesota; and <br />WHEREAS, the Developer has fully and duly performed all of the covenants and <br />conditions of Developer under the Agreement with respect to the completion of the Project (as <br />defined in the Agreement); <br />NOW, THEREFORE, it is hereby certified that all requirements of the Developer under <br />the Agreement with respect to the completion of the Project have been completed and duly and <br />fully performed, and this instrument is to be conclusive evidence of the satisfactory termination of <br />the covenants and conditions of the Agreement as they relate to the completion of the Project.
