Page 27 <br />16.4.Attorneys' Fees and Costs <br />In the event of such failure to perform, the Contractor agrees to pay, in addition to the actual <br />damages sustained by the City as a result thereof, the reasonable attorney's fees incurred by the <br />City in pursuing any of its rights under the Contract. <br />17.DATA PRACTICES ACT <br />This Contract is subject to the Minnesota Government Data Practices Act and, pursuant to <br />Minnesota Statutes § 13.05, Subd. 11, all of the data created, collected, received, stored, used, <br />maintained, or disseminated by the Contractor in performing this Contract is subject to the <br />requirements of the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, <br />and the Contractor must comply with those requirements as if it were a government entity. The <br />remedies in Minnesota Statutes § 13.08 apply to the Contractor. The Contractor does not have a <br />duty to provide access to public data to the public if the public data are available from the City, <br />except as required by the terms of this Contract. <br />18.ACCESS TO RECORDS AND DATA <br />Contractor shall provide access to the City, Hennepin and Ramsey County, or any of their duly <br />authorized representatives to review any books, documents, papers, and records of Contractor that <br />are directly pertinent to this Contract for the purpose of making an audit, other examination and <br />preparing excerpts and transcriptions. <br />19.INDEMNIFICATION <br />Contractor shall indemnify and hold harmless the City and its agents and employees from and <br />against all claims, damages, losses, costs or expenses, including reasonable attorneys' fees, for <br />which it may be held liable, arising out of the performance of this Contract by Contractor, <br />Contractor's employees, agents or subcontractors. <br />20.INSURANCE <br />20.1.Insurance Requirements <br />The Contractor shall not commence work under the contract until they have obtained all the <br />insurance described below and the City has approved such insurance. The Contractor shall maintain <br />such insurance in force and effect throughout the term of the contract. <br />The Contractor is required to maintain and furnish evidence satisfactory to the City of the following <br />insurance policies: <br />20.1.1.Workers’ Compensation Insurance <br />Except as provided below, Contractor must provide workers’ compensation insurance for all its <br />employees and, in case any work is subcontracted, Contractor will require the subcontractor to <br />provide workers’ compensation insurance in accordance with the statutory requirements of the
