<br />18 <br />CR225-476-758705.v8 <br />The official copy shall constitute the Agreement, which shall be binding on all of the <br />Members. <br /> <br />13.2 Data Practices. The Fencing Consortium shall comply with the requirements of <br />Minnesota Statutes, chapter 13, the Minnesota Government Data Practices Act (“Act”). <br />The Vendor shall be required to comply with the Act as provided in Minnesota Statutes, <br />section 13.05. The Vendor shall be required to notify the Board if it receives a data <br />request and to work with the Fencing Consortium to respond to it. <br /> <br />13.3 Notices. Any notice required or permitted to be given to the Fencing Consortium under <br />this Agreement shall be given in writing, and shall be sent by first class mail to its current <br />address. Notice to each Member shall be given in writing by first class mail or email to <br />the Member’s chief of police or other designated contact person. <br /> <br />13.4 Waiver. The delay or failure of any party of this Agreement at any time to require <br />performance or compliance by any other party of any of its obligations under this <br />Agreement shall in no way be deemed a waiver of those rights to require such <br />performance or compliance. <br /> <br />13.5 Governing Law. The respective rights, obligations and remedies of the parties under <br />this Agreement and the interpretation thereof shall be governed by the laws of the State <br />of Minnesota which pertain to agreements made and to be performed in the State of <br />Minnesota. <br /> <br />13.6 Headings and Captions. The headings and captions of these paragraphs and sections of <br />this Agreement are included for convenience or reference only and shall not constitute a <br />part hereof. <br /> <br />13.7 No Third-Party Rights. This Agreement is entered into for the sole benefit of the <br />Members and no other parties are intended to be direct or incidental beneficiaries of this <br />Agreement, and no third party shall have any right in, under, or to this Agreement. <br /> <br />13.8 Good Faith. Each Member shall act in good faith. In exercising its rights and fulfilling <br />its obligations under this Agreement, each party acknowledges that this Agreement <br />contemplates cooperation between and among the parties. <br /> <br />13.9 Entire Agreement. This Agreement, including the recitals and all of the Membership <br />Resolutions, contains the entire understanding between the Members concerning the <br />subject matter hereof. <br /> <br />13.10 Amendments. Amendments to this Agreement may be proposed by the Board or by at <br />least 10% of the Members submitting a proposed amendment to the Board. The Board <br />shall forward proposed amendments to the Members in the form of an amendment <br />resolution. The Board will only forward amendments proposed by Members if it <br />determines the proposed amendments are lawful and not contrary to the primary purposes <br />of this Agreement.
