1 <br />Following Recording, <br />Please Return Copy to: <br />Doran SLV III, LLC <br />c/o Doran Management, LLC <br />6423 City West Parkway <br />Eden Prairie, MN 55344 <br />CORRECTION TO AMENDED AND RESTATED <br />EASEMENT, MANAGEMENT AND MAINTENANCE AGREEMENT <br />THIS CORRECTION TO AMENDED AND RESTATED EASEMENT, MANAGEMENT AND <br />MAINTENANCE AGREEMENT (this “Correction”) is entered into this _____ day of _______, 2023, by <br />and among Doran SLV III, LLC, a Minnesota limited liability company (together with its successors and <br />assigns “Salo Park Owner”); SVAP III Silver Lake Apache Park, LLC, a Delaware limited liability <br />company (together with its successors and assigns “Apache Park Owner”); SVAP III Silver Lake <br />Village, LLC, a Delaware limited liability company (together with its successors and assigns “Shopping <br />Center Owner”); and The City of Saint Anthony Village, Minnesota, a Minnesota statutory city <br />(together with its successors and assigns, the “City”). <br />WHEREAS, Salo Park Owner, Apache Park Owner, Shopping Center Owner, and the City are the <br />current Parties to that certain Amended and Restated Easement, Management and Maintenance Agreement <br />dated February 1, 2022 and recorded in the Office of the County Recorder in and for Ramsey County, <br />Minnesota on February 28, 2022 as Document Number A04935737 (the “Agreement”); <br />WHEREAS, capitalized terms used but not otherwise defined herein shall have the respective <br />meanings set forth in the Agreement; <br />WHEREAS, as of the date first written above, Salo Park Owner owns the Salo Park Property legally <br />described on Exhibit A attached hereto; <br />WHEREAS, as of the date first written above, Apache Park Owner owns the Apache Park Property <br /> legally described on Exhibit B attached hereto; <br />WHEREAS, as of the date first written above, Shopping Center Owner owns the Shopping Center <br />legally described on Exhibit C attached hereto; and <br />WHEREAS, the Agreement inadvertently attributed certain obligations and rights under the <br />Stormwater Agreement to Apache Park Owner in lieu of Shopping Center Owner, and the Parties wish to <br />correct the same and to otherwise conform certain terms of the Agreement to those set forth in the <br />Stormwater Agreement, all as more particularly set forth in this Correction. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, <br />the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: <br />27
