This Agreement may be executed in several counterparts, each of which <br />when executed is an original, but all of which together shall constitute one instrument. Separate <br />signature pages may be signed by various parties and each complete set of pages hereto, with <br />signature pages signed by each party, shall constitute one original of this Agreement. <br />15.The Lender hereby acknowledges and agrees that, notwithstanding anything to the <br />contrary contained herein, the Lender shall have no right under this Agreement to, and specifically <br />disclaims any security interest in, any TIF Note and/or funds derived therefrom and/or Demolition <br />Payment contemplated pursuant to the Development Agreement and disclaims the right to enforce <br />any provision in the Development Agreement relating thereto. <br />16.The parties agree that this Agreement amends and restates in its entirety that certain <br />Assignment and Subordination of Development Agreement dated October 3, 2020, filed of record <br />in the office of the Ramsey County Recorder on February 11, 2021, as Document No. A04863728 <br />and Amended and Restated Assignment and Subordination of Development Agreement and TIF <br />Note filed of record in the office of the Ramsey County Recorder on May 7, 2021, as Document <br />No. A048802388. <br />IN WITNESS WHEREOF, the parties hereto have made and entered into this Amended and <br />Restated Assignment and Subordination of Development Agreement as of the day and year first <br />above written. <br />[SIGNATURE PAGES FOLLOW.] <br />85
