(“Contractor”), with its principal place of business located at 1264 Energy Lane, St. Paul, MN 55108 and (“Customer”). Contractor and Customer are occasionally referred to herein individually as a “Party” and collectively as the “Parties.” 1. Estimated Description of the Project, the Significant Materials to be Used and the Equipment to be Installed. Contractor will furnish all work, labor, tools, equipment, materials, supervision, scheduling, coordination, and contract administration necessary to complete in a good and workmanlike manner the following: a clean energy project (“Clean Energy Project”) as more particularly described in Attachment A to this Contract (the “Scope of Work”). Contractor’s scope of work does not include any of the items on the “List of Work Exclusions” in Attachment B unless any such item(s) is explicitly listed in the Scope of Work. This Contract shall be controlling over the Scope of Work except that the Scope of Work shall control over the “List of Work Exclusions.” 2. Work Site. The following is the address of the location where the work by Contractor is to be performed: _______________________________________________________________________________________________. Such location, together with all structures located there, is referred to as the “Property”). 3. Contract Price. Customer will pay Contractor the sum of $ for the work to be performed under this Contract, subject to additions and deductions pursuant to any Change Order agreed upon in writing by the Parties. 4. Down Payment. $ is due at signing of this Contract. 5. Late Payment Interest. Interest shall accrue on any past due balance owed at the rate of 1.5% per month (or the highest rate not prohibited by law, whichever is lower) beginning on the 16th day after receipt of the invoice by Customer. This remedy shall be in addition to, and not exclusive of, any other remedy available under this Contract or applicable law. 6. Schedule of Progress Payments. Customer shall pay Contractor according to the schedule set for in Attachment C to this Contract. --------------------------at the latter to occur of: a) signing of this Contract; b) within thirty (30) days after Customer receives Solar on Public Buildings Grant Approval; and c) within thirty (30) days after City Council approval of the project.
